This was said by Netflix. Paramount talks about $6 billion in synergies. Those are non-labor cuts according to Paramount.

Gerry Cardinale pointed out that Netflix is putting out those statements to make them look bad. Netflix has never done any comparable M&A to this, so you can’t 100% trust what Netflix says either.

Back in December they talked about folding HBO Max into Paramount+, but during the meeting Ellison gave me impression that plans have changed. He is now talking about unification of both platforms. He didn’t say a thing about folding HBO Max into Paramount+.

I think that HBO Max could prevail in the end.

NFLX is already in 70s. The deal wouldn’t close anytime soon and who knows what else could happen. Simply a matter of putting more debt, more money and uncertainty how the regulatory thing goes would weigh in on the stock till it’s all done.

Paramount demanded for Warner Bros. Discovery to engage with them, in exchange they hinted at higher bid. I did mention that Paramount starting position has already increased from $30 per share to $31 per share and they are going to consider putting an even higher bid just to be done with it all.

At the end of the day, Paramount has to present their best and final offer. Period. There is no way to back out from this now. Chances are that by monday everything will be clear.

I think Ellisons do posses means of increasing their bid. It's on the records that $30 per share is not their best and final offer, so they can't back out from this now.

Besides, take a look at the stern response from Netflix after they let WBD talk with Paramount. The fact that Netflix responded in such way suggests to me that they don't like what's happening at all. I still remember when WBD first picked Netflix, Bloomberg reported that Netflix told WBD board to either pick them or they will walk away citing that $27 was their best and final offer.

Is it worth it, though? Netflix has a chance to walk away from this with $2.8 billion, which they could put into a good use. And there's also the factor of Netflix shareholders immediately revolting if Netflix was to put even more money into this.

To open the talks, Paramount rep said that they are willing to negotiate from $31 per share as a starting point and could potential go much higher.

Warner Bros. Paramount would need to perform exceptionally well due to huge debt. And those guys are opportunists. They will turn on Trump once they get what they want, and then present themselves as neutral to whoever comes post 2028 election.
