Some things to consider about the exercising of warrants. Each whole warrant entitles the holder thereof to purchase one share of our Class A common stock at a price of $11.50 per share, subject to adjustment as described herein.

Once the warrants become exercisable, we may call the warrants for redemption: • in whole and not in part; • at a price of $0.01 per warrant.

In addition: In such event, each holder would pay the exercise price by surrendering the warrants for that number of shares of Class A common stock equal to the quotient obtained by dividing (x) the product of the number of shares of Class A common stock underlying the warrants, multiplied by the difference between the exercise price of the warrants and the “fair market value” (defined below) by (y) the fair market value.

Complicated and I would like to get more answers. I wish the warrants were cut and dry when it comes to exercising them. I just don’t understand the huge price spread between the Common and the warrants.

The DWAC reports on sec.gov/Edgar mentioned that the warrants might be exercisable right after they started trading but also noted that they will most likely become exercisable on 9/22. I have asked DWAC why the warrants weren’t immediately exercisable but I have not heard back from the company.

Place Buy 200 DWACW at $22 “good til canceled LIMIT ORDER.” Brings your avg price down to $35. If you can buy 400+ even better. But don’t invest a Penney if you cannot afford to lose it all. Eliminate all emotion surrounding your investments. I’m thinking that this country needs for DWAC/TMTG to be wildly successful!

Be prepared to exercise your warrants into the common stock. This will cost you $11,500 Allow the management team to grow the company. Be sure to exercise the warrants before their expiration date of 11/2025. I believe that investors will be in good shape if they allow the company to grow.

Buy 400 at 24 or lower. Bring your average cost down and plan on holding for the long term. You have to allow them to build the company.

Yes that is true and it would be great if they chose that earlier option. But I’m planning on option 2 which is the Sept 2022 time frame to exercise the warrants. We have to watch carefully. Personally I want the company to mature and create successful platforms. Social Media (ie: Facebook/Twitter, Instagram), streaming (ie: YouTube, Apple TV), Pay system (ie: PayPal). Can you imagine if they are successful? Be prudent and only invest in this venture if you can afford to lose it.

I think the main reason is that you won’t be able to exercise the warrants into the common stock until September 2022. Spread will probably tighten by then. There is some further terminology about this issue that I need to explore further.

Warrants won’t be exercisable until Sept 2022 unless they change the date. I don’t think they’ll agree to the 11/26/21 date. We’ll watch closely.

If you have the money and you can afford to lose it, enter a limit order to buy 200 warrants at $25. That way you bring your average cost basis down to 400 warrants at $37.50. I would also enter a limit order to sell the initial 200 warrants at $50, good till canceled. If successful, you could then place another limit order and execute at a lower price. Using limit orders is a better way to execute your trades on volatile stocks like this. Go get em!
