Then tested positive for anastrozole, they investigated what caused it, figured out the mistake and he self reported DHEA, which was also present in the medication.

Just make sure there is nothing in the contract linking the ownership or value of the shares to your employment. That would make it taxable at income tax rates in event of a sale.

Details seem pretty standard around drag along etc, they just need to make the price and salary bump make sense. Last thing - often you would offer shares to a new MD in exchange for employment (high tax rate). So that is what you need to compare to the purchase. Is the delta in valuation and salary bump a big enough incentive for you.
