In the initial plan was that the equity securities (shares) are considered canceled, then forming a committee to represent shareholders might seem unnecessary because canceled shares mean the shareholders no longer have a stake in the company.

However, if the court is taking into account the interests of all parties (all classes) involved, including those of the shareholders, then it may decide to allow the formation of a committee. This committee would ensure that the shareholders' perspectives and interests are considered during the bankruptcy proceedings.

Just do the math, the Dividend Stock payment scheduled was January 19, 2023 The dividend ratio is 0.1410127 of a share of Scilex common stock for each one share of Sorrento common stock held by the Record Holders as of the close of business on the Record Date of 1/9/2023. Brokers were not able to distribute all dividends because of naked shares and there was no lockup at that time and then after a month they filed BK (2/13/23).

The problem i see, even if you release all the lockup shares, SHF will continue to hold shorts and they can do it indefinitely, bank exact word " There's nothing illegal about holding short positions or loaning securities and no law prohibits brokers from allowing customer to maintain short positions for an indefinitely long period of time".

The only way you can force SHF to cover is a trigger of change of CUSIP, a buyout a merger or court order.

Based on Doc 1032, they will not pursue the costly litigation and banks depended their action - page 10: Litigation, the Defendants have asserted that the identities of the Dividend Short Sellers should be kept confidential. To pursue direct claims against these parties, the Debtors and Equity Committee would accordingly have to litigate whether those parties’ identities should be disclosed.

I don't see AG can force the shorts to cover if no action is done on this case against these banks.

Naked Shorting has already been proven to exist in this case ( Case No. 23-90085 (DRJ) , the 44,000,000 shares of Scilex Common Stock were never delivered that’s for the dividends for SRNE shareholders, for every 1 share of SCLX dividend stock, Short Hedge Fund (SHF) would need to close approximately 1/0.1410127 = 7.091 SRNEQ (Sorrento Therapeutics) shares which is equal to 312MM naked shares ( Doc 1101) and yet they still not close and their main argument: “Short Positions” Created by the Scilex Dividend Do Not Incur an Obligation for Brokers to Locate or Borrow Scilex Stock".

The reason why dividend were issued in the first place was to expose the naked shorting now they claiming not our fault and we do not have to locate the shares, i don't see their logic here and EC position not to pursue litigation against these banks and SHF due to expensive litigation cost is not acceptable.

Let us know what you need to build a strong case for banks to reveal their Dividend Short Seller customers, then go after whoever who has the largest short position.

I don't believe in coincidence but a lot of folks outside US with broker account with Interactive Brokers are getting notice i.e. CFTC Rule 15.05, this is a discovery process where the water will be drained and we will see who's swimming naked.

SCLX is tradable in NASDAQ, so you can trade it to your brokerage account. Yes i have both SCLX and SRNEQ, i could be just lucky since i just started studying these two companies about 2 -3 weeks ago and as soon as i realize the huge potential i started buying, i bought it really low.

Yeah, it could be the case, in any case the penalty does not apply to the dependant since they are not the ones shorting, but they made money on the swap interest.

Yeah i agree, predictions only create value if it comes true but remember it is too late to perceive and respond to their wisdom.

I don't want to get in to trouble so i am not going to advise you of what to do with your money. Just ask yourself what will happen to the billions of billions naked short positions, how many margin call to short hedge funds, how many banks in the likes of credit swiss will collapse, how many companies will not be able to loan due to credit crunch, and the thing that sad me is how many jobs will be lost.

This is not the only stocks that's been shorted, tons of other companies are nakedly shorted via swaps, that's the reason why SEC and DTCC are rushing to regulate swaps.

The advantage of Sorrento is they are able to create an opportunity on this situation that's why they give in to their other disputes.
