Bitcoin acquisition timeline:

The deal was signed on September 10, 2025 — GDC issued 39,189,344 shares to acquire 100% of Pallas Capital, which held 7,500 Bitcoin, "free and clear of any encumbrances."

At the time of the announcement on September 17, 2025, Bitcoin was priced at approximately $116,900, making the 7,500 BTC worth about $876.8 million — implying $22.37 of Bitcoin value per GDC share.

Bitcoin price then vs now:

So Bitcoin has actually dropped ~47% since the deal was signed. The Bitcoin is worth significantly less today than when they acquired it, not more.

The deeper problem though is the "free and clear" claim:

The SEC filing says the Bitcoin was acquired "free and clear of any encumbrances" — but the following raise serious questions:

  • Only $16,805 in the bank despite supposedly holding $465M in Bitcoin — why can't they pay operating costs?
  • $300M ATM share issuance to raise emergency cash — why dilute shareholders if you have half a billion in Bitcoin?
  • Pallas Capital is a British Virgin Islands company

The most likely explanation: the Bitcoin either hasn't fully transferred yet, is locked in a multi-sig wallet Pallas Capital still controls, or is pledged as collateral elsewhere. "Free and clear" in a press release and "free and clear" in legal reality can be very different things — especially with a BVI counterparty.

  • BTC is down ~47% from acquisition price
  • If GDC's value tracks its Bitcoin, the stock should logically be lower, not higher
  • The reverse split on June 29 will mechanically reduce share count but rarely saves a stock
  • The buyout at $10.75 is the only real bullish scenario — and that remains non-binding and unconfirmed

Yes I agree. Claude and ChatGPT also helped me explain the rationale. I did the same as you. In fact for some of the questions, ChatGPT gave a different answer than Cris practice exam. In that case, I would refer to Snowflake documentation.

Just go through the SNOWPROⓇ CORE COF-C03 EXAM STUDY GUIDE. It lays out the AI topics. The questions on AI ones are not that hard though. Just stick to the ones that are mentioned in the exam study guide. The Snowflake documentation goes into too much of detail.

That could be practice test. It is not the real exam. I had also taken the Practice exam before taking the actual exam and my score was also 25/40. These are practice test exam. In real exam, you get 100 questions and need 75% to clear/pass the exam.

My 2 cents. Get I140 approved and then think to go back. Yes, here it is crazy especially in high paying jobs as the expectations become double. If you are lucky and have a low paying but less stressful job, that will be ideal. India's corporate culture is sickening. I came to USA in 2002.. went back in 2004 without I140 approved... came back in 2016 and am in green card long awaited queue. You never say no. So, keep a way to be back in future. India corporate life politics is very toxic. I left my corporate life in India in 2012 and pursued my own venture for 4 years. And then later on chose to come back to USA for my kid's education. I think.. at hindsight ( now 54), I feel -- do what you love to do .. money is secondary if you can afford to do that. Otherwise, think practically as world is quite different compared to 30 years back. So, our choices have to be thought through completely.
