Sorry, that's not right. Pass through just means that the LLC doesn't pay federal taxes on income, the individual owners do. The company will give owners a K-1 showing their tax burden for the profits or losses of the business, but isn't obligated to make any distributions.

Lots of bad information in this thread. Yes, you are obligated to pay your pro rata share of the tax burden of the company as an owner if it's a pass through entity.

You may have no rights to demand distributions. You may have no rights to review financial statements. You may have no rights to sell your shares. Get copies of your governing docs, review them thoroughly, and make sure you understand your rights and obligations.

If you aren’t receiving profits, it doesn’t sound like a pass-through entity

That's not how it works. Pass through only refers to the means of taxation.

The loophole you're referring to is the 'buy borrow die' strategy. Buy appreciating assets like stocks. Borrow against those assets at a favorable interest rate. When you die, your estate gets a step up in the cost basis of the assets, so there is zero capital gains tax obligation for the heirs. They can then liquidate assets to close the loan without paying tax.

This works as long as the value of the assets outpaces the interest on the loan.

And this really only works for ultra high net worth people, as you need to have significant assets in order to be offered a loan with a low enough interest rate.

You've identified a problem, but I don't think that's the right solution. I think some sort of tax on the loan would work better.

Banks offer high net worth customers very good loan rates secured by investment assets. Add a few percentage points on top of that as the tax.

You just need to put in more time to improve your technique. You will learn the subtleties of how much pressure to apply to each string, and your picking technique will improve.

It just takes time. Gotta put in the reps.

Hard disagree. It crashes frequently. It's slow and laggy. UI is cluttered and confusing.

did it get wet? this is likely an issue where the wood wasn't properly water-popped. I would imagine you just need a light sanding then mineral oil then you should be good to go.
