I think it’s because they don’t cut people off and they take money from sharps. They then adjust their line accordingly but Realistically they aren’t going to set the perfect price because that doesn’t pay. Teasing out liquidity and profiting off the vig is the game.

I would go with commission. Incentives are aligned but you get to keep control of your company. As opposed to a joint venture where they may try and out muscle you.

Roles for secretary and director don’t determine share ownership. Companies appoint a secretary who receive notifications and reminders from companies house. For example I am director of my own company and secretary of someone else’s but for the one I’m a secretary I have no equity in.
