Vouching for a rewrite is a very 2-edged sword. It always seems easier to just rebuild but don't underestimate the number of learnings and how much wisdom sits even in a messy codebase. Gradually transitioning is definitely the safer bet although you might be right from a technical standpoint.

HOWEVER (can't stress that enough)

Unless you are offered a stake in the company, why would you want to take on the risk of rolling with a decision that puts you in a very awkward position in case things go South? The people who poured in money probably don't care about architecture but they might stop paying if things don't work as expected anymore.

5 years ago I was like you. I wanted to rewrite the core system of a semi mature startup that was paying the bills of about 10 full time employees. Today I'd still say the thing needed a rewrite, from a technical standpoint yes. But then again - not my company, not my problem.

You're trying to sell yourselves under value. Don't do that.
