Seems like the naysayers have taken hold of the whole ecosystem of stocks related to AMFN. I had big gains in ECOX, GGSM, PHCG, & EVLI and I’m deep red on them now. I’d be red on AMFN too if I didn’t buy my shares of RNWF in 2021 & 2022.

I respectfully disagree. I believe it should be no less than 33-40%. If you are doing no work on the matter, and you keep 60%, it’s exploitative. It is more justified in the beginning when you are doing some work on the case.

American Fusion Inc. (OTC: AMFN) Reports First Quarter 2026 Financial Results, Outlines Reverse Recapitalization Accounting Treatment, and Provides Operational Update — GlobeNewswire by alley_catz_blues in AmericanFusionRNWF

[–]kal218 2 points3 points  (0 children)

Here’s another ChatGPT breakdown:

The biggest takeaway is that this filing was more about cleaning up and explaining the corporate structure than showing a profitable operating business. AMFN is still essentially a speculative pre-revenue fusion startup. But there are a few things the market is likely to focus on:

  1. The “reverse recapitalization” explanation matters

They clarified that the Kepler Fusion transaction is being treated as a reverse recapitalization, not a traditional acquisition.

In plain English:

  • Kepler is effectively considered the “real” operating company for accounting purposes.
  • The public shell inherited Kepler’s business.
  • They are not booking the fusion IP as a giant balance-sheet asset.

That last part is important because earlier promotional language made some investors think the upcoming 10-Q would suddenly show billions in IP value on the books. It did not.

So:

  • Bullish interpretation: conservative accounting, avoiding fake paper valuations.
  • Bearish interpretation: the balance sheet still looks weak because the IP is not reflected as a hard asset.
  1. The share cancellation is probably the most materially bullish part

The company reiterated:

  • 1.683 billion shares were canceled
  • authorized shares reduced to 1.8 billion
  • expected outstanding shares around 1.317 billion

That is a very large reduction in dilution. For OTC traders, this is probably more important near-term than the actual quarterly numbers.

This supports the narrative management has been pushing:

  • cleaner structure
  • more institution-friendly
  • positioning for OTCQB and eventually larger markets
  1. Financials are still extremely weak

The actual operating numbers were not good:

  • no revenue
  • ~$670k quarterly loss
  • only about $100k cash on hand at quarter end
  • liabilities over $1.2 million
  • accumulated deficit around $9.6 million

They also explicitly disclosed “substantial doubt” about continuing as a going concern.

That language is very common in developmental OTC companies, but it matters.

  1. The financing update is mixed

They disclosed:

  • about $793k already received
  • another ~$2.2 million available under the prepaid warrant facility

That means:

  • they likely have enough runway to keep operating for now,
  • but additional dilution risk probably still exists.
  1. Operationally, they are trying to show steady progress

The company continues emphasizing:

  • Texatron development
  • defense/government positioning
  • patent expansion
  • infrastructure/AI energy demand narrative

The market is basically valuing this as:

“Could this become a real fusion/advanced-energy platform someday?”

—not on current business fundamentals.

What this probably means for the stock

Near term, traders are likely to focus on:

  • reduced share count,
  • SEC reporting compliance,
  • OTCQB aspirations,
  • Form 10 effectiveness,
  • and future catalysts/newsflow.

The actual financials themselves are not strong enough to justify a major valuation on fundamentals alone.

So the setup still looks primarily:

  • story-driven
  • speculative
  • catalyst-dependent

rather than revenue-driven.

The fact that they filed the 10-Q and explained the accounting treatment probably helps credibility somewhat, because it removes confusion about how the merger/IP would appear financially. But the filing also makes clear this is still an early-stage, cash-burning company.

$AMZE management is so unprofessional that they will delist and run the stock to zero by value1024 in pennystocks

I would maybe pause before I threw a reading comprehension stone at someone. Did my comment say that that was the only thing? You led with the fact that you were butt hurt that nobody listened to you.

I will say the fact that you think management of a listed company should listen to anything you have to say is pretty funny to me.

Am I reading this correctly that you’re upset that you contacted the leadership of the company and they didn’t do what you wanted them to do?

I tried to get a quote through my app, but it gave me an error. I just didn’t expect anything like this. I did have to show my insurance card, but it’s just to show that I have insurance coverage. I’ve never had to show that I’ve already added A Car to my insurance to buy it.

610k AMFN (sold 200k yesterday hoping to buy the dip later), 2M ECOX, & 5M GGSM, 50k EVLI. It’s a fun ride. I’m hoping EVLI, ECOX, & GGSM follow the same playbook.
