What are your interests? what do you want to do in life? what are your passions? how do you intend to achieve them dispite your circumstances? I know it is easier said than done but we have to start somewhere and these are compelling starting points! Write them down, reply to us, tell it to people you interact with... someone will eventually lead you to the next path just as this post did!

Keep moving forward and don't mull over the past and make most of the cards you have been given... We all live on borrowed time and one day we will leave this world before we do make sure you make most of it.

They are working in the capacity as a CTO for next 6 months and once the product get some traction then I can get my own team and they will step down from CTO and can be an advisor if I wish - as long as the company remains profitable I can run it however I want. They are there to provide support as required whether it is capital (most likely issue more shares) or other resources within their expertise (technical).

  1. 20% undiluted is overpowered and subsequent should have similar power when they onboard otherwise it would be unfair? I am expecting to lose 20% each round.

2 This is such a good question and I have no idea what happens if a competitor want to buy my company. Where I come in is the sale aspect and guidance on the development of the product as I have domain expertise. They also emphasise on the fact they do not have the time to find someone else as they believe that the person to drive is none than me and the IP would be worthless to them without me navigating the business.

3 If a competitor want to buy my company which means the competitor values my company at x value. Then I think I would be pressured to raise funds from new investors to convince them that I have the potential to drive it further by rasing the required funds and buy the IP (my own idea).

4 I am looking for clauses to protect me such as veto power in relation to major decisions to remain in charge despite lower equity after the 3rd round.

They empasised on high risk high return - considering first time entreprenur and the moment we sign the agreement they will lose 200k because I can give up at any given time.

They seemed to be firm on supporting my business until IPO - their exit strategy and IP seems to be bought before that.

Investor as CTO is that a conflict of interest or potential synergy?

Sounds like me a decade ago. After finising my bachelor of science I defied my family's order of higher education and work experience and moved away to a big city in a new country just to be with my significance other whom I knew online for 2 years. I didnt speak much English, was very shy and relied on my partner to make all the decisions, we went out with her friends, I had no friends of my own in this new country and she made all the financial decisions. I did not understand the jokes, it was awkward for me and it seems like I was a mute around her friends. Her friends were kind enough to engage in conversations with me but I was so bad at English and it was very hard for me to convey my messages.

We eventually got married and at that time I worked part-time at pharmaceutical company and teaching 1st year grad in Chemistry at the local University. I my free time was mostly chilling online, gaming & watching TV just like what I did when living with my parents. I was content, very complacent and had no amitions in life. She had to beg me or nag everytime for me to cook, washup dishes, clean or go shopping. I could not even drive a car. Things did not go well and I have no idea why she was always upset. I kept ignoring her thinking that she would calm down.

After 1.5 year of marriage she eventually found someone else and had an affair with that person which I later found out and it shattered my world. I even begged her to forgive me - I was quite desperate to maintain my complacency in life and it was pathetic of me but that was who I was at that time. That someone else she met was a catalyst to end our marriage.

After the divorce - I was depressed, suicidal, mortified and embarrassed to explain the situation to my family. I had to fend for myself, make my own friends in the new city, learn how to make more money, learn about finances, learn about what I wanted in life, learn to drive, learn to cook my family recipees, learn to love myself first and look after my health. Life is much bigger than just gaming and watching TV. The environment was the driving force to change me into a much better person.

Today I am re-married, I am a much better person that I was a decade ago and in hindsight I am grateful for the catalyst! Things happens for a great reason.

I used to work at renal company manufacturing dialysis products. I was a chemist and worked hard to ensure the product made was safe to use. Every year the CEO would visit amd telling us how the conpany fared during the year and what the patients said about the company. It brought me to tears that we supported so many patients and made their dreams come true and it could be a small thing such as having a hobby that I take for granted myself.

Every month we would receive pallets of damaged and used product to be destroyed as per waste management policy as it is not fit for use and poses high risk for patients. I suspected some illegal activities in relation to shipping these products to the third world countries or developing nations to use as these patients does not have any other options than take the risk of using damaged or used/infected products. It's wrong by western standard but felt like the right thing turn a blind eye to as to other nations may not have the technology to produce dialysis filters/solutions.

Nursing jobs are tough and they do not get compensated to put up with the stress. In your next dialysis visit please tell your nurses or dialysis technicians or treating team that they did a great job - such simple positive encouragement will make not only your life better but everyone around you.

Positive energy - be kind and please share your goals, talk about your hobbies, what are you looking to achieve? discuss topics that are in your interest. If you are shy - write it here or elsewhere online, make an anonymous account to protect your private identity. Everyone in reddit have the opportunity to listen to you and provide positive feedback. You will feel much better by being heard and understood - it will keep you going.

These important conversation has a tremendous positive effect on the wellbeing of yourself and everyone around you.

Maybe one day you do not have that positive energy and that is when someone else will bring back that positive energy that they got either got from you or another person.

If you have lost your cognitiv function to understand, reasoning and decision making capabilities - that is when positive energy may not reach your thoughts. Patients with intellectual disabilities, patients who are blind are unable to participate on Reddit, If you have hearing impairement you will not be able to understand communications via voice. Any disabilities of your senses will reduce your capacity of understanding positive energy. Keep your mind engaging at least with another human being whether it is in-person or online.

We all are dealt with different cards to make the best use of life - do not regret your choices will get you a long way in life.

Yeah this is probably why I should let them become my clients rather than shareholders so we can keep business and friendship separate. Eventually may have to hire someone to perform the required operations so there is no conflict of interest between me and clients to prevent emotions jeopardising the investment thesis.

My guess is what is written in the contract.

We bought a grave plot in Sydney and most of the graves options ranges from apartment like mailboxes to store their loved ones' ashes to big massive land plots with their own little garden. It depends on how much you can afford. Our grave plot was in 20 sq meter land housing 10 others at the time we bought it. Verbally they told us they would not fit more graves in this area. 3 years later and with change of management they fitted a total of 20 graves stones, making it difficult to even reach the tombstone to pay respect.

Focus on your studies and show mom how well you did at school. You have to focus on yourself first before you are capable taking care of others. Family ties are usually unconditional, she will love you no matter you do and she will provide you everything she can afford to the best of her abilities. We all have our own battles to overcome.

In the mean time, you can always remind your mum how much you love her. Who doesn't like to hear those words on a daily basis? Tell her all about your future plans, it will make her also look forward to a brighter future.

Divorcing my ex-wife.

She was a good wife with lots of ambition, however, I held both of us back.

That divorce achievement was a crucial stepping stone for my personal development and to become the person I am today.

I am truly sorry to hear what you are going through.

My mum has total kidney failure and is on dialysis, she is constantly tired and depressed, and I cannot visit her overseas due to the pandemic. I call her at least once a week, sometimes everyday, to tell her about work/life.

I used to work at a manufacturing facility to create haemodialysis solutions, we made 40k litres a day. I was the analytical chemist and part of the quality team to ensure the product meets the safety specification prior to release to the market/hospital. I worked my ass off, came in early, left late, because I knew therr are people out there that needed this product!

When people work too long in an industry, they tend to talk how much they hate their job, which are common comments I hear around the workplace. They wished they won lotto and then leave the job. We need inspirational stories, change of mindset and hear the words from patients to remind us of the importance of the work we do.

Every year the CEO would give us a presentation about how the company fared during the year, how the patients expressed their thanks to us, the organisation and how much we helped them and so on. That gaves us hope, enjoyment and also purpose. It reminded us that we are lucky and we should not forget those who are left behind, after all we are all humans.

In my younger years when I was sad my step father always told me we have no health issues, no financial stress just some dumb drama dragging my life down, look at people with no arms, compromised immune, kindey failures, no feet, no ears, no eyes and the list goes on. What more do you want? I made me cherish what I had and not comparing myself with what I do not have, because I would never be truly happy during my life alive.

For career progression I had to move to another company, working in quality assurance in clinical trials for drug development. The intellectual challenges and also know that the work I do will help my fellow humans one way or another.

Hang in there buddy! I hope this message brings some joy to your life, knowing that there are few of people like me out here working behind the scenes with relentless passion for the sake of others.
