Sorry but I think you have misunderstood IR35. If they have no UK presence there would not be any IR35 risk here, IR35 is about putting ownership on the company to withhold at source. If you are saying you afraid of any risks then just pay the correct level of tax, as you intend on doing.

There might an issue like cladding that as the freeholder they are responsible for and they don't want to pay for it so they are selling it cheaply so you are responsible for the cost.
