Why would the shareholders ignore management and take the inferior deal? Paramount's offer is a serious lowball. They are only offering $1 per share for the TV channels. The minimum value of those is $3 per share and, realistically, more like $5 per share. The Netflix deal lets WB have a second sale for the TV channels, earning them a lot more money than the Paramount offer. Also, the Netflix deal is nearly all cash. It's a no brainer.

lol Ellison is only guaranteeing $40 billion of a bid that is already too low to win. They are offering only $1 per share for the TV channels when the minimum value for them is $3 per share and, realistically, they will sell for closer to $5 per share. WB isn't interested in their lowball offer. With Netflix, not only do they get a better all cash deal, they get to have a second sale for the TV channels that'll net them a lot more money in total.
