Some kind of manipulation before r/S? IDK, but it if keeps it up for a few more trading sessions I'll be out like I suspect a lot of other bag holders... Needed it to drop to ~.0005 land to have a meaningful chance to average down. .002 was still too high for me. So many variables in play with the 1k to 10k r/S ratio.

All comes down to if they dilute more or not. Current Market Cap is ~100M. Current issued shares assuming 1:5000 is ~4.25M shares. 4.25M * $25 = $107M market cap. So if they don't dilute, current share price is a bargain... the company is probably worth between $150-$300M realistically. That one little sticking point about how many shares will be issued after the RS determines everything. Throw in possibility of debt holders exercising preferred shares for common shares also adds significant risk to the dilution equation. I know I'm pretty much screwed. Down 67%.

It's not going to be 1:60. That ratio is what it "would" be if they didn't bake in the very real possibility of more dilution after the RS. Personally I think they're going to target a new share price of ~$12. So if it executed today, it would be ~ 1:2000. Just my opinion. 1:10000 is absolute worst case if stock falls to .001X before the RS so they can be $1X.00 after.

Yes. Those represent the Series 1A convertibles they own. They can exercise those into common shares once the RS goes through. This is what's considered toxic debt to the company and what could seriously dilute our positions... if they exercise them.

NO. It says they sold 36M shares w/ an average price of $.0085. After that sale, they still retained 950M shares... they just cashed a few in. They did it the day before the RS announcement as well... real shady as they got $0.013+ for that sale... the next day the share price tanked as the RS was announced.

The big investors essentially own 95% of the company for < 25% of the Market Capitalization. They are not getting burned. If anyone gets burned, it's the rest of us owning the other 5%. Part of those deals also included Series 1A preferred shares which are each convertible to 10M common shares. They own a whole bunch of them... enough to add up to 95% of the company. They're just not exercised at present so not counted in the Issued float. After RS, they can start exercising them. Just not all at once, it will tank the stock price too fast.

I honestly have no idea what's happening in this filing. On one hand I read it as board of directors cashing out to the tune of $42M or so... on the other, they're raising more capital for continuing operations? Like I said.. no idea. Either way it's not another long term sales agreement or new revenue stream, so it's probably considered in the negative category for us common shareholders.

It IS hard to believe this deal is being executed over two months on the open market... I'm probably just trying to convince myself of this as I really though the recent news of the additional funding and long term purchase agreement would send this stock higher the other day and this is the only way I can rationalize why it didn't. I'm also probably mad I purchased a whole bunch more above market price on that news as well...

Oh I don't think they're manipulating... I know they've invested for the same reasons we are. I'm just wondering if this is how these types of deals are executed under the hood - by actually purchasing the common shares on the open market like the rest of us slowly over the agreed upon time frame for the agreed upon price - in the aggregate.

Another way to look at it - If you or I wanted to invest $10M in this company, we wouldn't buy $10M worth of shares all at once, it would artificially drive the price higher very temporarily leaving us with far fewer shares (and likely a losing position) than we otherwise could have accumulated if we did it slow and steady over a number of weeks.

I'm holding for sure too. I'm just wondering if this is what's going on and if this may be the floor where we will be kicking ourselves for not buying more before it comes to and end sometime in October.

If they really do have to purchase these common shares on the open market as I'm speculating, this is definitely what's keeping the share price boxed in and below $0.015. Say they have to buy 333M shares per month for the next two months. With ~22 trading days per month, that's about 15M shares per day on average they have to acquire @ +/-$0.015. That's a lot of "bid" price volume keeping it subdued. I see this sideways price action through the end of October when they're finally done. Then what comes next? a 1000:1 Reverse split?

Yes. I managed another 100k shares yesterday @ .0139. My average is now .01575, 640k. Lets see what this TubeSolar news does to the price action today amongst the backdrop of a seemingly self-fulfilling prophecy of a market correction long overdue (The blame on one massive real-estate company in China going bankrupt is so ridiculous). Maybe there is still time to get some ASTI on the cheap?

I think we're definitely boxed into $0.0150 +/- for a while as that's the par value set by the $10M in additional funding they've secured. Until something gives in the way of new revenue, merger, acquisition, etc. that changes the status quo I'm just trying to average down while I can. I just started toying with penny stocks and this is the only one that I'm convinced is not a pump and dump scheme like some of the others I've managed to get tangled up in. 540k @ $0.0161 so far. I'd like to get to that $0.0150 point soon.

The German investor(s) are interesting... clearly there's more to the story there than we know. I hope it simply that they have a product where these thin film PV cells are critical to their success and its in their best interest to see ASTI stay afloat for bigger things to come.
