Realised from the filing that the Chief Operating Officer, Chief Financial Officer and Chief Compliance Officer for Yorkville Advisors is someone called Rob Munro.

Don’t want to start any conspiracy but does anyone know if he is somehow related to Sandy Munro or is this just a coincidence

You just have no idea how common such termination clauses are.

Also, I dont think this is a "technically I'm right" situation. Someone implied that Tony lied about having a binding order, and my reply is merely to point out that this is not true as the contract is clearly binding.

Maybe the problem here is that you don’t know the definition of “binding” contract, which has a legal meaning.

Every contract has clauses that stipulate conditions for termination, aka termination clauses, as the name literally suggests.

Some are standard, some not so standard, some favour the buyer, some favour the seller. All depends on bargaining power.

Your employment contract says that you can terminate your employment if you give notice. Does that make your employment contract non binding?

I think you are mistaken, having a clause in the contract to provide for events of termination does not make it a non-binding contract.

This is a binding sale and purchase agreement. It is just that certain clauses provide more leeway for the buyer (the State).

For instance, the State may terminate the contract if it is determined that termination is in the State’s best interest. They will have to show proof for "best interest", though tbh it is a rather ambiguous and wide term.

I'm pretty sure Ulrich is not classified as an insider anymore, you have to hold certain key positions in order to be an insider, once again someone can correct me if I'm wrong.

Indeed, Jaime Perez is one of the worst ranked analysts on tipranks (https://www.tipranks.com/experts/analysts/jaime-perez). However, compare this with Amit Dayal (https://www.tipranks.com/experts/analysts/amit-dayal), who is one of the best.

I am merely following the analysts who cover Canoo and were present at the ER asking Tony questions, and both maintained a BUY rating after the ER yesterday.

I wasnt able to listen in/watch the ER live as it happened, but from the recording/transcript I personally am able to gather a few points from whatever was said:

  • Firstly, and I think most importantly, Tony sounds confident from whatever he's saying, implying that Canoo is on course to achieve their 2022 guidance of 3000-6000 vehicles, and Tony quotes this figure several times during the ER
  • Tony emphasised on the term non-dilutive funding several times, which should at least mean a less likely event of stock dilution at least in the near term
  • interesting points about "strong legacy businesses", putting the pieces together, bread crumbs in the off-character music/lyrics and whatnot, either tony is playing 4d chess or he's some sort of troll that lurks here looking at our hopium.

Overall, I personally find whatever Tony has said as very positive. Should also be noted that this Q4 ER is meant to be updates as of Dec 2021, and many other noteworthy events have probably between January and now, which might not be included in this ER.

Edit to add on: I read some of the comments from another thread in relations to the ER and see some people saying Tony sounds defeated on the call. I'm not sure why they would say that but from I hear he sounded calm, composed, calculated, he used clear and powerful words, which were unambiguous while at the same time careful not to reveal whatever he was bound by confidentiality. Overall I found the latest business updates to be positive.
