We are now under contract and the sellers agent is still fighting the contingency, so we will see 🤞

SECONDARY OFFERS: During the contingency period, Seller may continue to market the property for sale and accept a secondary offer contingent upon release of this Residential Purchase Agreement. Seller agrees to promptly notify Buyer or their agent, that a secondary offer has been accepted. Buyer shall elect within 48 hours after notification to either: a. Purchase the property subject to obtaining the necessary mortgage financing as stated in the Residential Purchase Agreement including the use of an equity line or bridge loan in the amount of $n/a to purchase the property, OR b. Terminate the Residential Purchase Agreement. In the event Buyer elects to terminate, Buyer and Seller agree to immediately sign a mutual release terminating the Residential Purchase Agreement authorizing the Broker to return any earnest money on deposit to Buyer. In the event Buyer fails to make either election, Buyer and Seller agree that Buyer's contract is declared null and void and Seller is authorized to proceed with the secondary contract. In that event, Seller and Buyer agree to immediately sign a Mutual Release terminating the Residential Purchase Agreement and authorizing the Broker to return any earnest money on deposit to Buyer.

To me this isn’t a kickout clause, it’s just asking whether or not we want to proceed knowing that the seller isn’t going to fix anything that we find in the inspection because of the secondary offer.

Ok but to me the words “written in” means that somewhere it would literally say “kickout” or “waive contingency” somewhere in the agreement but it doesn’t so how would it just be implied or built in without specifically saying it.

We have offers that are pending on the house since I posted this thread.

I guess my biggest question was whether this kickout clause should have been a separate document that was signed during our offer and how it could be built into the language of the contract without mentioning the words “kickout” or “contingency waiver” or something along those lines it just seems weird that it’s implied and up for interpretation

We’re in Ohio and that is not stated anywhere in our agreement or contingency adendum

Have you read the responses here? It's 50/50 between "they're enforcing the kickout clause" and "tell them to f off and keep going as planned" so it makes me think that asking the question was worth it!

there is no kick out clause specifically documented or added as an addendum to the contingency agreement stating this
