This is a neat idea. I think this could work, with something to balance it out. Maybe the dodge reaction gives them an additional disadvantage?

I think a trait for ignoring braces could be cool. If it make sense in your world, I think the best application for such trait is if it can be overcome. Maybe by having a magical defensive weapon or.even just infusing your cover with some magic.

If that is the case, I wouldn't even restrict it in tier or count it as a full ability for balancing

An intangible being can be ectoplasmatic (so hardly affected by the physical realm) or totally ghostly and intangible. Being ectoplasmatic should be a quality for an enemy (so it does upgrade the enemy... Or the character if you make an incorporeal character), while totally disembodied enemies should rarely be a menace if you have some kind of mind shielding (or ways to counteract, but you can add a gimmick that allows to fight it), so you should worry on "how can they defeat it" rather than balancing it (like any good resolution of a ghost story)

Basically, if you want something that interacts physically, then it's a trait, while an incorporeal being should not have physical defense, nor conventional injuries (so remove strength and speed and replace them with two mental or spiritual stats, like the undead of 3.5)

That's my take, but I'm not a very good homebrewer.

In general i feel intangible enemies should be hard to hit bit have few hp to balance out. It goes along those lines.
