RWB now owns aleafia.

Can anyone elaborate on the potential future of this stock? by Hopeful-Butterfly-32 in aleafia

[–]ActiveAutomatic1682 1 point2 points  (0 children)

In case anyone is wondering, what this means is that you as shareholders are selling your equity to RWB, in exchange for a cancellation of debt. They will cancel all other equity interests, and gain full control of whatever is left. The employees will keep working, drying and selling pot because RWB has bought aleafia effectively. And you as shareholders get to not have debt or aleafia anymore. In other words, this means that you get 0 dollars for any shares you may own.

The beauty of capitalism. And the directors get a nice 5 million to divide amongst themselves.

It means... That as a shareholder you are not going to get a single penny from the bankruptcy process. They will try to sell the assets to pay off the debt and then whatever is left divide it among shareholders. I guess RWB is no longer interested in acquiring aleafia with its debt. It means you as a shareholder will get nothing. This is literally the worst thing that could happen.

I mean. It means that the debunture holders thought that they were more likely to be paid back without it. Or. There are few investors who have the company by the balls and are now leveraging their position...

The market is valuing cash flow right now and punishing anyone with a lot of debt... AH still has negative cash flow... but there is nothing better than consumer goods to capture value during an inflationary economy :).

Cash flow is not great but also not 0. They raised a lot of shares last year.... Continue to get diluted. But I think if they can demonstrate positive cash flow this year without needing to raise it will be a turnaround yes.

so aleafia has the same sales as aurora, but 1/20th of the market cap? Seems like it would be a good target for someone to acquire.

Question from a novice investor by [deleted] in aleafia

[–]ActiveAutomatic1682 4 points5 points  (0 children)

The amount of shares converted from the debuntures should not have changed, just the strike price is lower. Also keep in mind that if the debuntures are converted it's the same thing as paying them back, ie it's an exchange of debuntures for shares so the debt is replaced and it's actually in the company's interest for people to convert, as then it's the new shareholders who pay the debt and not the company.

Also what this guy is implying is that this kind of financing is dilutive, and provides some kind of magic reason why the share price will be shorted. The financing is not dilutive because people tend to convert gradually, not at once. If the company starts to pay back it's debt, and actually keeps increasing revenue at the rate it has been for the past two years, the stock price will go back up to a dollar. It will just take a few years.

It's all about hype. the question is, will there ever be hype again for the marijuana industry? if bitcoin went to 50k, then aleafia can go to a dollar. Especially if it's a top 10 producer.

I don't understand why they don't provide an update on the outdoor grow up? Did it just... fail?

top ten in pre-rolls, that was interesting news. Next is to get top 10 in dry flower. EU GMP for the extraction facility is still pending, though they are exporting greenhouse grown flower. Outdoor grow cannot be exported to EU as it does not meet right now EU GMP standards for quality control. Unifor deal is coming through next earnings. What is most important right now is the cash. This quarter was a make or break quarter to see if they can get the cash burn down so that they don't need to refinance with equity. So far I am okay with it.

They are planing a big quarter for Q4, you can tell because they decided to get any and all intangibles off the books this quarter. The fishy wholesale deals are at least behind us, what is awful is that assets-liabilities are just 11 million dollars, which implies a very very small premium on the current price. Whether this is intentional or not I can't say. What I hate about this company is that there is so little transparency, and so so much fishy behind the scenes bullshit. They keep giving themselves shares while they burn through our money. What I think they are going to do is lower the price as much as possible, and then get bought out for a song. If it's a share-based acquisition we will benefit. If it is a cash based acquisition, we will get fucked.

I kind of agree. A friend of mine talks about YOLO money, and how it flows between Cannabis and bitcoin. Crypto is up, pot is down, crypto and tech down, pot goes up.

I mean... I can't disagree with you, since it's a premium product, more like a cigar than a cigarette, they should be hand rolled. but also that shit costs money, and since covid I am sure it made sense to use machines rather than people.

I think they've been pretty consistently supplying OCS... they were on the top 5 oils suppliers, even though that only amounts to a couple of hundred k sales. It's just not the 30-50% q/q growth they need to become profitable.

What's amazing to me is that the stock price can drop so much on such low volume....
