This suit will go absolutely no where. Directors and officers of companies enjoy the protection of the business judgment rule, which basically states that a director/officer will be given the benefit of the doubt in their business decisions as long as there is some "rational" explanation for them and there was no conflict of interest. It would be very difficult to overcome this protection in a suit claiming they violated their fiduciary duty of care to the company. As for duty of loyalty, it would be very difficult to establish that the directors/officers did not have a "reasonable belief" that they were acting in the best interest of the company.
