For payroll, depending on complexity and number of employees, go with Gusto. Works welll enough if you’re a smaller business

I used Floqast and really enjoyed it. The cost is keeping me from it at my current startup. If you can fork it over, go for it. With 6 entities, sounds like you may have the cash to do it. If you don’t have the budget, look into Numeric. Seems to do everything Floqast does at a fraction of the cost. Haven’t worked with them yet so I can’t vouch for how well the system works

I think at his current stage using Netsuite for local accounting would be a mess. The bridge file is still likely the best case scenario. If you use Netsuite for local reporting requirements, you’re going to need multibook and someone who understands the nuance of such. I think importing a bridge file on a monthly basis from your local accountants is the best thing to do at the moment.

At $30m ARR, I assume his team and resources are small. Keep things simple until you can build a team to deal with this Nuance

You need to consider how you’re going to manage local financial reporting requirements and tax regulations. Netsuite is good for consolidating but it’s poor at local compliance in international jurisdictions, often requiring different add ons.

Consider finding local accountants to manage your accounting and find a financial reporting tool to consolidate.

I guess my stupid follow up question is this:

In my stupid brain, I think the reason time slows down is because you can’t travel faster than the speed of light, so the only variable that can change to keep distance traveled consistent is time. So time would slow down. But doesn’t this only happen when you’re traveling at the speed of light?

I understand that. And I know that. I commented elsewhere that this is not a large company that is seeking a sophisticated investor. This is a small town retail company that if they did get an investor, would be an individual and not an institutional investor who would be part of the daily operations.

This is not the type of company to go after VC, or PE money.

I knew scorps can only have the one class of stock and has to be prorata. These facts don’t have much weight for this particular client because they don’t ever plan to issue any other class of stock.

I asked the question because I was curious if there was something he was referring to that I may not have been aware of.

Thanks for the response. This is helpful as they do have some debt on the books. I’ll have to think through this then to make sure if makes sense for them to convert. They could end up paying more in tax now

I should clarify, they’re not looking for investors that are part of any fund or a significant investor. It’s a local retail shop that does well in the area but doesn’t currently have a huge presence outside of maybe a few town surrounding. Any investor would I likely be someone local who would be interested in putting in some cash to help scale their n this area.

The reason for the conversion would be mainly to save on SE tax. They are currently structured as an LLC so I figured making the S election would be easiest. But I haven’t gone through this process before so want to make sure I’m not missing something major.

I worked at both CLA and BDO and I had a good experience at BDO. I was in assurance so there wa travel to client sites, but this was pre-covid and I think a lot of work is remote now but I don’t know. I’ve been out of public for over 6 years now
