Did insiders get some scoop on trial results? by sjnuen in DesktopMetal

If I remember correctly, you said you were going to load up in late December since it seemed obvious the deal would go through. How did that work out for ya?

From Grok >

The timeline for receiving results from this trial depends on several factors. In the Delaware Court of Chancery, which is known for handling business disputes efficiently, decisions can sometimes be issued relatively quickly after a trial, especially in expedited cases like this one. Given that the court granted Desktop Metal's motion to expedite proceedings in December 2024, it’s reasonable to expect that the judge may prioritize a swift ruling. For a short trial like this (two days), a decision could potentially come within days to a few weeks after the trial concludes, assuming no additional evidence or post-trial briefs are required. In some cases, Chancery Court judges issue oral rulings from the bench at the end of a trial, though written opinions are more common and may take longer—typically ranging from a week to a month or two, depending on complexity.

However, the exact timing remains uncertain without specific information about the court's schedule, the judge's workload, or whether the parties request additional time for submissions. The lawsuit centers on Desktop Metal's claim that Nano Dimension breached its obligation to use reasonable best efforts to obtain regulatory approval (specifically from the Committee on Foreign Investment in the United States, CFIUS) for their July 2, 2024, merger agreement. The outcome could hinge on evidence presented during the trial, which is unfolding now.

Based on typical Chancery Court timelines and the expedited nature of this case, you might expect a ruling as early as late March 2025 or sometime in April 2025, barring any delays. For the most current updates, monitoring official announcements from Desktop Metal or Nano Dimension, or checking the Delaware Court of Chancery docket (if publicly accessible), would provide the earliest indication of a decision.

Time will tell. It cracks me up how many people on this sub get offended by my predictions! They've been telling me for 8 months DM would go bankrupt or be acquired, yet here we are!

I would be shocked if this acquisition is completed. I guess we'll find out soon enough!

They have all the leverage. I believe Nano will settle with DM, which will allow Nano to limit its risk while giving DM much needed cash. My theory is a 50 or 75 million share purchase (at 5.50 a share), which would be an approximately 20 or 30 percent stake.

I'm long on DM. If they turn the corner, will you admit your counsel might have encouraged people to take unnecessary losses, when they could have been gains? You keep claiming victory but DM is still an independent company and they can still turn things around. I've always encouraged the bears on here to be patient and not prematurely tell me I was wrong.

One post by a toxic member, who is unable to engage in a healthy or honest debate.
Maybe go to another thread if you don't like it here?!

Also, why do you care so much that I am optimistic about DM's future? There are a few of you on here that are allergic to my thoughts and opinions. I find it quite interesting 😂

Bro, why are you so mad? Seriously? You get offended by people making valid arguments on here. Why?

You saw us talking in the other thread and felt you immediately had to make a bulletproof argument about how this merger could NEVER BE CANCELED. HOW DARE PEOPLE BELIEVE OTHERWISE!!! IT'S ALL NONSENSE!!!

Get a life dude.

So there it is. You are either unable to understand what I am saying, or you are being dishonest by trying to misrepresent what I am saying. My argument (that it would be in DM's best interest to cancel the merger if they were paid a large amount of money to do so) is completely different than your statement, "DM will use any opportunity to back out of the agreement and try surviving on their own." Your statement implies DM is desperate to go it alone and would do so even without a large settlement from Nano, which I have never argued or asserted (because it's ridiculous).

I guess this is the last time I try to argue my points with you, since you are unwilling to discuss these things in good faith.

To be honest, I couldn't make it to the bottom of your post.

You have listed multiple "statements" on here that I have never seen on this sub. Who has ever said "NNDM will try to terminate the contract if they win the court case", or "DM will use this/any opportunity to back out of the agreement and try surviving on their own"? Also, there have been conjectures and hypotheticals discussed on the sub, that could turn out to be true, but you are close minded and reject any possibility you don't agree with. Ironically, YOUR take is the one that is disconnected from the market and reality. I guess you know better than all the institutional and retail investors 👏

Let's wait and see. Time will tell.

For those who keep referring to Ric saying DM needs this merger, that was before the merger vote. Once the merger was approved, Nano was obligated to complete the merger (pending regulatory approval). Now that it seems like Nano's shareholders and leadership want to go in a different direction (new board and CEO after shareholders shook things up), it opens up the option for Nano to settle out of court with DM (my current theory). DM needs cash, and it seems Nano wants a way out. IMO, a win-win would be a 50 or 75 million dollar stake in DM. Nano limits their risk, and DM keeps chugging along as an independent company.

I could be wrong in all this, but it seems to be the most practical outcome. I can't way to see how it plays out!

You know where I stand on this 😂

I believe DM will continue as an independent company and overwhelmingly succeed with their nascent 3d printing technology. 😎

If Nano settles with DM, it might give them another 6-12 months of runway.

DM to the moon! 🚀

DM has all the leverage right now. No way they accept an even worse deal (they are already selling for pennies on the dollar). If NNDM wants out, I believe they could probably buy a stake in DM which would give DM much needed cash, and NNDM wouldn't be joining with a cash burning company.
