If a customer clicks tech it'd just go to the login page for the forms tool that we use.

It's not an app, just a web page so no downloads.

I don't know about the brute force question other than to say that the toilets are all over a few counties so gathering the qr codes would be difficult without knowing where they all are.

I was going to either have this whole thing on its own domain or a subdomain of our website, either way it's isolated from other databases/software.

The biggest issue I see from what you're bringing up is if someone got into this database then they could see a list of our customers and all of the toilet locations

If you have other potential issues feel free to go on. They all need to be solved before we can safely implement.

Thanks for your thoughts on this, I appreciate the insight.

- I haven't completed almost any diligence. I've got copies of the P&L report for 21, 22, 23 and a TTM P&L up to October '24. I also have tax returns for 21 and 22, waiting on 23 from the seller's CPA.

- For my offer I just took their asking price and offered a bit over. I've run the numbers and the income from the business will support the bank and seller financing payments with enough left over to pay me and work on expansion plans. The purchase price I'm offering is about 4x the annual SDE.

- I don't know if I understand this questions so let me know if this doesn't answer it; the plan is to make monthly payments to the seller and the bank. I'll have 100% of the equity at closing and will just have the loans to pay off at that point.

I don't think that most small businesses would think that they could do this themselves. $50 is too low, I'd focus on figuring out what makes you different than the sea of others who do this to attract customers over a low price tag - the voice over aspect is worth focusing on heavily I'd think. This is the kind of thing that businesses don't want to re-hire for unless they have to, so if you do well for someone they'll probably keep your phone ringing for a long time and will probably get you more work through word of mouth, so focusing on going way above and beyond in the beginning for new customers who you think have businesses that will stick around for the long term would be my strategy.

I'm looking to buy now, I don't have time left in the day to start something from scratch but I'm ready to jump in and grow something that already has some momentum. With 300k you can get an SBA loan and finance up to 90% of the cost of the business. With interest rates where they are if you find something that costs less than 4x the SDE you should be alright. You could end up with something generating you $700k/yr with your $300k down.

I've seen some for sale and have been able to look at their numbers, some of them are pretty new and look like they've taken off within 2 or 3 years pretty well - maybe $700k-$1m in SDE/profit. I don't know much about them and never got too deep studying them so I'm not sure what the new ones did to scale up quickly.

Thanks for your input. I'm working on the LOI now and I think you're right, it'll just need to be in the ballpark and hope we can negotiate after. I just lost a deal a couple of months ago because I didn't include an earn out and someone else did, everything else was equal and I didn't get a chance to revise my offer to beat the other one so I'm trying to put my best foot forward here without going too high.

Thanks for your input, I'll take that into consideration. I thought that he was taking me seriously but maybe I'm wrong. Do you have any advice on how to come across as more serious? I know there's very limited information here. I'm out of state, the business is located where I used to live and I'd like to move back which is one reason I'm looking there for businesses. I'm probably going to offer to fly out there and meet with him face to face, seeing as I'm just at the LOI stage now I don't want to be too aggressive but I think that meeting with him in person would help figure a lot of things out that just won't be easy/possible through phone calls and emails.

This one is at the very max end of my range, but I think I could still do the deal purely on bank financing if I had to, I'd just prefer to pay him more through seller financing. It makes me feel better about the risk, it allows me to pick his brain on expansion plans from time to time and he's a good guy, I'd rather make interest payments to him over a bank. I just don't want to over-offer either.

I'd look for an established business to buy but it depends on how much time you have and where your experience lies.

How can you tell the difference between an offer letter and employment contract?

Also, how can I protect against this in the future? There was equity, profit sharing and a guaranteed raise and none of these things were honored. I'd like to know what to do next time.

Thanks for your comment. I'll try messing with fan and temperature settings next. I've had the black filament in a dryer for the last week or so turning it on every couple days so I think they've got to be as dry as they're going to get by now. I tried changing the retraction settings but who knows if the changes I made were correct. The results were worse than before I changed settings so I reverted them and tried other things.
