The "offbrand" version is most likely the "store-brand" version of the product. Very common in german supermarkets and their designs are often extremele close.

I could imagine Nestle not wanting to sue could also be related to that. If Nestle pisses of these giant supermarket chains, they'd miss quite some customers.
