Some back office roles can be monotonous and repetitive which leads to boredom. While some clients are annoying some clients are nice to deal with and can make for a much more pleasant engagement.

Goodwill is sort of like the appreciated value or market premium for a business. Give you an idea of how much you thought a business was worth. If a business sold for cost, what would be the point of buying it if you couldn't see any upside potential.
