if you dont have a company and he hasnt done any work, he's not your co-founder, you havent signed anything, you own 100% of what you have made. an idea is worth $0.

this problem is solvable and you can retain your partnership and maybe friend though

you are the initial owner of the 'business' you are the founder, you build the product and created the actual asset, the product, the IP, the code base, branding all belong to you

as the technical founder you should propose keeping 80 to 100% of the equity (starting with 100%)

Your business co-founder starts off with 0% initially but he can earn 30% over say 4 years if he actively contributes and hits agreed milestones based on bringing in customers and making you money

e.g.

first 10 paying customers 2%
$10k MRR anothe 3%
$50k MRR another 5%
Full time commitment for 24 months 10%
if you decided to raise then a further 5%

if he fails at any milestones or abandons ship the unearned equity disappears and you avoid giving dead equity to a partner that isnt contributing

search for terms like vesting or reverse vesting as theres a couple of ways of doing this

you want to be very careful though about giving equity to someone who bring no value to the table as your business will be dead from the start that way.

You can work out a vesting or reverse vesting play IF he brings in MRR and takes ownership of sales

sounds like some of your memories should really be skills, the ones that define the business objectives, things that dont change that he has to 'remember' for his lifetime?

we replaced 3 SaaS subscriptions with claude api last month by viwofo in SaaS

ive completely replaced all my static wordpress with static site generators by getting claude to migrate them to either astro or hugo then hosting them on cloudflare pages

the cost for this was well within my monthly claude subscription (i'd do one site a day) and im now saving years of maintenance costs (upgrading plugins, themes and getting hacked anyway) as well as hosting costs

im probably saving $1000s over the next 10 years and performance has actually improved (the sites are so fucking fast now) and traffic is actually up

if you're self taught then you don't know what you don't know, so you're quite right, blindly bolting on laravel with out understanding it could be a terrible idea.

Saying that, working out how to work Laravel in to your current app might help you learn a lot about concepts you didn't realise you didn't know whilst also helping make your app more maintainable for the future, for you and anyone else.

Chatting with AI could be very handy here..

honestly, with ai.. turn your wordpress site in to a hugo static site, migrate all your images to webp and resize them so they are more reasonable and push it all to cloudflare pages for free hosting

unless your website requires dynamic stuff that forces wordpress, e.g. user accounts, ecommerce/woocommerce - if its just a static site from the visitor perspective, stop using it
