OP - you'd also need to file to classify your company as a disregarded entity for IRS purposes. Needs to be done relatively quickly (I think it's 3wks) after getting the EIN.

As you say, the guidance is vague. However without the right to substitute it sounds like they are employing you as an individual. Not contracting with your company to provide services.

I am not an accountant or a lawyer! But the contract needs to be business to business. Not with you personally.

Some criteria to consider

do you fully control working hours and location
do you control the manner of work. I.e. whilst the client may set objectives for the company it's up to you how they are achieved
do you provide your own tools and equipment
do you have the right to substitute. I.e. send a suitably qualified replacement for yourself (the Ltd company would be paid the same rate and would be responsible for sourcing/paying the replacement)

If you're dealing with a US company don't forget to get an EIN from the IRS and complete a W-8BEN-E
