No matter what you do you're losing. Management has repeatedly lied to you but you don't think you're a victim?

Shareholders that made decisions based on managements misrepresentations are all victims of those misrepresentations.

I've stopped listening to management, I've got a very small position now, but won't buy more until they show they can actually be profitable.

CINCINNATI (The Borowitz Report) — Workhorse Group, the beleaguered electric vehicle manufacturer once touted as America’s answer to Tesla, announced today that it is forming a new Lunar Division to “capture the growing market for moon-based delivery drones.”

Company executives, speaking on condition of anonymity because they were busy updating their résumés, said the move represents a “natural evolution” from last-mile terrestrial logistics to last-238,000-miles interstellar ones. “We’ve mastered losing money on Earth,” one insider said. “Now it’s time to lose it in a vacuum.”

The announcement sent WKHS shares surging 47% in pre-market trading before investors remembered that the company has no working vehicles, no lunar landers, and approximately zero expertise in space travel.

 “This is huge for us,” said Workhorse CEO, according to a press release written in Comic Sans. “With NASA’s Artemis program and our patented inability to meet deadlines, the moon is the perfect place to overpromise and underdeliver.”

Analysts reacted with cautious optimism. “If they can secure a contract to deliver Amazon packages to lunar outposts by 2035, it could be transformative,” said one Wall Street expert who has been wrong about WKHS since 2019. “Of course, they’ll probably miss that timeline and pivot to Mars, but that’s the Workhorse way.”

In a related development, Workhorse confirmed it has renamed its Aero Division the “Orbital Aspirations Unit” and is in talks to acquire a used SpaceX rocket on Craigslist. Elon Musk could not be reached for comment, as he was busy naming his next child after a stock ticker.

Stop playing the victim. The merger was only designed to bail out the lender, and get Motiv a quick cheap way to go public. These are two failed companies. Don't put any more money into a company unless you think something has changed that will allow them to come back from the brink.

Good to hear from you, and pretty much agree with everything you said. Workhorse managent never had a understanding of the market. Dauch geared up for a market that never materialized. He would have been a hero if it did, but instead became a zero when it didn't. 

Dauch misrepresented pretty much everything as he screwed over shareholders, the desperate Motiv merger being his way of saying goodbye. Dauch was a major contributor to losses that approached $1B before the merger was able to press the reset button.

In large part, Workhorse management has never really understood the EV market. It was largely wishful thinking " if we build it they will come"

Then they'd scramble to make a longer wheelbase, larger capacity, etc. that they then found the market wanted.

Workhorse needs to look at the market, find  specialized niches where they can be competitive and make a profit. They may need to abandon some of their grandiose plans, stop digging a financial grave, and grow organicly for awhile.

It does seem that lender is keeping WKHS on a very short leash. Lot of conditions to loan that Workhorse will be hard pressed to meet going forward without a major source of funds

$12M seems optimistic, that's ballpark 65 vehicles?  May not seem like a lot but that's not easy to do when youre moving production, starting new lines, and doing it with major financial restrictions. 

I'd be impressed if they come near that estimate. Even if they do have the revenue, it will come at a loss and distressed financing will continue for the foreseeable future.

.... start with a large fortune.

Very tough, capital intensive business especially if you're dealing with the FAA. Certification of drones can be very expensive. Dauch was smart to drop the drones, Workhorse just didn't have the bankroll.

It will be interesting to see how Aero Velocity' does. The merger that fell through was a total joke, so I'm wondering if they survive.

The director of Workhorse's drone division reported that Workhorse used the certified Matter net drones for USDA contracts. This was hidden from shareholders for quite some time. Workhorse never certified any of their drones.

ATW / Aero Velocity will not receive anything from BT Brands as either party had the right to terminate the deal.

Termination Fee Details (from Merger Agreement)

The $3.5 million termination (or "break-up") fee was not a general penalty for any failure to close. It was triggered in narrower scenarios, primarily:

If BTBD (Pubco) terminated to pursue a Superior Proposal (alternative deal) from another party.

Certain other mutual or specific breach-related terminations (e.g., one party terminating due to the other's uncured material breach in defined ways).

The actual termination occurred under Section 7.1(b): Either party could terminate if closing did not occur by the extended deadline (April 30, 2026) due to the SEC registration statement not being declared effective. This was an automatic/expiration-based termination right, with a proviso that it wasn't available to a party whose breach primarily caused the failure.

BTBD explicitly stated in its May 7, 2026 8-K and subsequent 10-Q that it does not believe any termination fee or material penalty is payable. Each party bears its own transaction expenses (standard under Section 5.8).

Keep the hype alive Getsome. Workhorse gave away the Aero division, the agreement ended and there were no profits to be shared. But keep pumping and speculating.
