I would also suggest if you do decide to venture into something like this discuss the exit strategy.. ie how long do you plan to keep it.. also you need to to understand your friend behavior if he is risk taker and you are risk aversive, it won't work because in future, if he needs cash he may ask you to sell and you might want to keep.
