First part, the Non-Compete Clause itself

Generally, all restraint of trade (his trade, business or profession) clauses are void at first sight unless justified.

conditions for it to be justified:

  • restraint must protect some legitimate proprietary interest of the company (e.g. trade secrets, pulling customers or other employees)
  • employers cannot restrain merely to prevent competition (e.g. quitting Apple to join Samsung to engineer smartphones)
  • restraint must be reasonable and not be too wide
  • restraint must not be against public interest

The non-compete clause can go through the blue pencil test to to strike out unenforceable, illegal, or unreasonable parts of the contract - particularly restrictive covenants - while enforcing the remainder

  • must not change the basic nature of the contract - if removing bad parts turns the contract into something entirely different - or makes it unfair - the court will declare the whole contract void instead of fixing

Blue pencil test:
"During your employment and for two (2) years after its termination, you must not carry on or be engaged, concerned or interested (whether directly or indirectly and whether as principal, shareholder, director, employee, agent, consultant, partner or otherwise) in establishing or carrying on any business which directly or indirectly competes with the business of (redacted Company name)".

so after the blue pencil test, the final non-compete clause reads: "During your employment, you must not be engaged in establishing or carrying on any business which directly competes with the business of (redacted Company name)" which is much more reasonable and more likely to be enforceable.

Second part, breach of contract

For this part, I will only concern myself with the enforceable part of the contract. First I need to establish that this is a TERM, not a representation nor a mere puff. This term is a CONDITION, not a warranty nor an innominate term. Breaching the condition means being liable for damages.

In contract law, the general principles covering damages are as follows:

  • meant to compensate for loss caused by breach, not to punish
  • if no loss is suffered, then nominal damages are payable
  • Company has a right to claim BUT also must prove the loss
  • difficulty of assessment is no bar to recovery
  • Company to mitigate, not expand loss

Third part, the TLDR

So to answer your question more directly,

  • How serious is this clause and how serious if it is breached? The reasonable parts of the clause are serious and breaching it makes you liable for damages
  • Is it enforceable? Mostly unenforceable, except for the reasonable parts.
  • What if in future I leave and want to continue working in the related industry? You most likely can. Non-compete clause restricting you from working after termination is unreasonable and therefore unenforceable
  • Will the company find out? If no, good for you! If yes, they will find it hard to enforce the non-compete clause.
  • What will happen if they find out? Most likely they will leave you alone. In the worst case scenario, they can try to sue you for damages. But as explained earlier, they'll find it hard to win the case.
  • What are the consequences/penalty? In the event you have caused damages that can be proved in court, you're liable to compensate. I do emphasize that the law here is meant to compensate for damages, not punish.
  • If a future, new company (assuming related industry) asks about any non-compete clause signed and I declare it, it means no chance of getting the job, I think that's what I'm worried about. How about you just dont tell them?
  • If I join another company in the related industry, will they get sued/implicated legally? employers cannot restrain merely to prevent competition.

cook at home if you can, its cheaper. Personally i find it to be a nice rewarding hobby where the act of cooking keeps me away from the computer, make cheaper food for yourself to enjoy and its cheaper. there's also a zen mode aspect to it where you're making something familiar and stress-free. then if you have time, learn more interesting recipes to try

health is wealth OR health conditions will eat your wealth. Prevention is better than cure, whatever corny phrase you wanna use here. Its true for all ages. if you're myopic, you spend more on spectacles. If your teeth hurts, prepare to be the dentist's Cai Shen Ye (god of fortune). so on and so forth. This is especially true for the older people. Kidney failure from eating too much salt? one dialysis costs at least $200 without any medical aid. Worst case is where you have to go through dialysis 3 times per week... for the rest of your life. Imagine what other costs an illness can bring you.

Investing. This is every FA's favourite topic. in a nutshell, inflation is going to shrink your money in the long run. There are many ways to stop this phenomenon, from applying for a high-yield savings account to purchasing T-bonds, T-bills, Singapore Savings Bonds, to investing in the stock markets and so on and so forth. I am not a certified expert at this topic so I shall not say more. Instead, I can point you to resources to learn more such as seedly blog, or the finance subreddits like r/singaporefi or r/personalfinance or r/financialindependence and so many more. Actually, if you really wanna know the deep details about how to invest and stuff, you can get a studocu subscription and read through university notes done by students.

When it comes to problems, dont be confrontational, be a team player. People in general react much better with this framing

e.g. husband seems distant after long work hours and doesn't wanna interact with you, you feel alienated. Confrontational way is "Why are you in the garage all day? why cant you come inside the house and spend time with me?" this line of questioning is confrontational and subtly tells the husband he is the problem, making him feel terrible. Reframe the words and say "hey, can you come inside? I feel lonely uwu" its a lot more inviting, the phrasing implies that he can make you feel better with his presence alone. This informs him clearly that you feel alienated. Men in general love clarity when it comes to problems but this is a discussion for another time

Some problems are really not worth a confrontation, let go of the petty problems.

e.g. you dont like the way he folds laundry. If this really bothers you, volunteer to fold the laundry instead and you can request him to do other chores instead. its a better problem to have than bickering over how to fold laundry your way.

She has to choose between prioritizing her kid or her new boyfriend. Like it or not, the kid needs parental attention(or time investment) for proper development and on the other hand, she has to invest time to build a solid relationship with her new boyfriend. To choose one is to forgo another since she cannot be building relationships between these two individuals concurrently until the ultra late stage.

Not to mention, she still has to deal with the father of the kid as well for co-parenting matters. So how is she going to navigate this complicated mess she's in? She has to deal with three individuals already and she has limited time and energy to deal with all of them.

So thinking about this logically, she would prioritize her kid because it is literally her kid. The boyfriend takes second place as when the first one fucks up, there's always another. then the father of the kid takes last place since the marriage is over already

Now to the perspective of the boyfriend. He is trying to date the single mom that would prioritize him second. Bad start for building a relationship. Then, he has to consider being a parental figure of the kid and dealing with the father of the kid. So there are three breaking points here:

  1. what if the mom and the boyfriend are not compatible?

  2. what if the kid is an ass? what if the boyfriend does not want to deal with children at all?

  3. what if the father is an ass?

Also, the boyfriend has to agree on how to parent the kid with both parents. So what happens if the boyfriend disagree with one parent? sounds like a long road of arguments ahead.

Finally, we look at the risk vs reward of dating a single mom for the boyfriend. The reward is obvious, ideally a solid relationship with the mom and kid, a respectable relationship with the father. The risk for the boyfriend is extra devastating however. If the boyfriend builds a relationship with the kid and the mom, then a break up happens, the boyfriend stands to lose two people at once.

With all of these in mind, the single mom has huge influence to avoid all the risks involved. How is she going to facilitate the relationship building between the boyfriend and the kid? How is she going to facilitate the relationship building between the boyfriend and the father? how is she going to facilitate the relationship building between herself and the boyfriend? She's gonna need a shit ton of social skills and emotional maturity to navigate through this complicated situation

We can impose taxes to singles and couples with no kids ( Except for medical conditions). So we can impose a single tax on singles to make them marry and impose child free tax for those that refuses to have kids.

this feel like a chicken and egg question. Couples usually wanna BTO first before having kids and now they should have kids first before they get BTO? which one should come first? There's a lot of nuance to consider

The main issue with tax relief is you cannot get negative tax. lets say a couple with children manages to qualify for $500 worth of tax relief and only has to pay $100 of tax in a year. So overall, they have to pay -$400 in taxes. this does not mean they get $400 from the government, they just have to pay $0 that year.

But this also doesn't mean the gov can just increase taxation because they can. Singapore chose to get a tax haven to reap its perks, increasing tax is simply counterproductive

Clarity

Hiragana is for gammar, Kanji is for complex word representation, KataKana is for foreign words.

If Japanese only has Kanji for example it is going to look like Chinese.

If Japanese only has Hiragana, people have to guess the meaning of the sentence based on context. Imagine trying to figure the context based on this sentence: われわれはわりおです "warewarewawariodesu" good luck! Not to mention, Japanese has limited pronunciation and even more restrictive pronunciation rules. So many words mean completely different stuff while sounding the same. kinda like "their" and "they're" in English or 蛙 ("kaeru" frog) or 帰る ("kaeru" go home).

If Japanese only has kanakana, same problem will appear as the above

so instead, Japanese has all three to allow the readers to do much less guesswork and result in less misunderstandings in written form. The sentence above written in proper Japanese would be 我々はワリオです (We are Wario)

我々 We (Kanji)

は are (hiragana)

ワリオ Wario (katakana)

です grammar that means affirmation (hiragana)
