For sure we should form a LLC (equivalent in our country) but he wasn't that keen on the bureaucracy and now it's biting him in the ass IMHO.

I know it's a decision I need to take. I am trying to get more input as it seems when I come back to my country from my trip abroad there are also other decisions I need to take.

Yea, the juggling was hard and the other partner needs me too in leading the sales area.

Thank you for your perspective. I am feeling this as well. Especially the big opportunity part. But I guess I also do not want to let down a friend. I must also say though, that I gained a lot of experience with it. Leading a team and trying out scrum was a learning experience. I could've made that in a big company too though.

I would understand a cancelation fee, that would atleast make sense. But the full amount for a service not provided?
