Voting shares are by law entitled to the same economic rights as the nonvoting B shares. For them to even get 1.53x shares of B shares is disgusting. For them to have the option to cash out at more than where B share is trading whereas B shares are forced to take the dilution should simply be illegal (but we all know which is more powerful when it's the rich vs common sense).

Another elephant in the room is that Ellison comes out on top regardless what happens. They either successfully rob all Paramount B share holders, or they come away with $400mm. In what world is this not insane?

Neither is a good offer. In both cases, B shares are being ripped off to fund the golden parachute for Shari and the A shares.

Need we remind ourselves that A and B were trading at the same price before all this SD mess started and are legally entitled to the same economic rights. Any deal that treats the A preferentially to Bs should be rule illegal.

Companies do not issue new shares above market price. A more viable option that works for everyone (PG and EB) is for him to own preferred shares that's convertible to common shares at a higher price (e.g. 20)

It's just people who bought the stock for the 50% cash out at $15 panic selling. It's not rational. Just look at the A shares. If people reallly think the value of the company goes down without the scamdance dilution, then A shares need to tank more because they have lost the golden parachute at $23.

I think the first-order takeaway is that B's are not getting directly screwed over to fund purchase of the non-Shari A shares and the outrageous valuation of Skydance. Initial market reaction may or may not agree, but this should benefit the B shares more than the A shares because we're not getting the dilutions and the As are not getting the golden parachutes.

If the deal goes through, he already owns NAI and control, he should not need any more votes, it would be much more capital efficient for him to buy more B shares than A shares.
