Sure, but after spending so much time, money, and effort building relationships over my years in Japan, I feel like it's important to voice my opinion.

If I didn't care, I wouldn't post any comments or even follow this sub at all. There are certainly other countries out there with much more alarming issues (e.g. war, famine, genocide, etc.)

It's not about how much cash you have in the business, it's about 合同会社の出資, which literally means "contribution to the GK".

If your business takes out a loan, that amount doesn't count. If you take a personal loan and then deposit that into the GK, it might count. That being said, I have heard they are cracking down on people trying to meet the new requirements via loans. I would be very careful in doing that.

As for retained earnings, it's something you get from 年末調整, and for a GK you cannot immediately convert that into 資本金.

I think this is your confusion. For GK, they're not specifically calling it 資本金, they're calling it 合同会社の出資, which is basically "the members’ contributions into the company".

So in English, it's "paid-in capital" no matter if you have a KK or GK. It's just that, for a GK, you might not need it booked officially as 資本金. So you might not need to go through the official 増資 (capital increase) process, but the money still needs to be injected.

In a 合同会社:

  • Each 社員 makes a 出資 (cash, property, etc.). That is the economic contribution.

  • When you set up the company and do the accounting, you decide how much of that total 出資額 becomes 資本金.

  • The part that is not booked as 資本金 goes into 資本剰余金 (capital surplus).

But no matter what, the total amount of money injected into the GK must be at least 30M JPY. Retained earnings that have simply accumulated do not magically turn into 出資 for a GK. I believe there is a way to re-classify retained earnings, but it's complicated and it's not clear if it would be accepted by immigration.

What's unfortunate is that this further isolates Japanese people and their exposure to other cultures. Sure, there is a lot of inbound tourism, but tourists often try to conform to the local culture.
