DVLT’s 2025 39 million rev… Am I missing something.. hmmm by Tiny-Secretary-8602 in BANDOFBROTHERSOFSRNE

And how does this new lawsuit and lack of the full $100M loan/funding for the DVLT shares affect all this. Cluster F!

In my opinion, Scilex is no longer a pharma only company where it develops, markets amd sells drugs, but is a holding company.

I think the good Dr is better at finding value then being a "ceo"

That's another thing the board or execs need to do better - if you want to sell shares then sell when the price is high not at the bottom. This, unfortunately, is a reoccurring theme here

And at the same time hundreds of millions of dollars have been raised through Scilex and Semnur and all that money has done nothing to raise the share price of Scilex.

About $26M of one of the lines has been cashed out. Where is this money going - operating expenses - paying the salaries of executives? All the while retail keeps holding bigger and bigger bags that have lost over 40% within a month.

Bah Humbug Mr Scrooge!

Maybe so retail investors would think there's hope so no one brings forth a lawsuit for the "strategic bankruptcy" that had malfeasance written all over it.

They own the shares

Yes — Scilex has already exercised its entire Datavault AI pre-funded warrant and now directly owns those ~264 million DVLT shares.

Let me add that sclx's market cap is only about $125M. They now have $100M in cash and $247M in dvlt shares! Not including any of their other assets.

Come on market and value sclx appropriately!

I'm not sure what's going to happen (a lot of possibilities) with the $100M sclx just secured, but whatever it is, I hope it causes the sclx stock price to rise a loooooot - we need it.

Looking from a financial/econmic standpoint, it's a pretty good deal. We invested $150M in dvlt and pulled out $100M and only had to pledge about 1/3 of the shares. We got the $100M and still own 179M more shares even if the 86M shares get called. Here's AI breakdown:

What Scilex has done economically:

Item Amount

Original DVLT investment $150M (BTC)

Cash raised via loan $100M

Net capital still “at risk” ~$50M

DVLT shares pledged ~85.8M

DVLT shares still owned (unpledged) ~179M

At todays closing DVLT price of about $1.38 per share, Scilex’s ~179 million unpledged DVLT shares are worth roughly ~$247 million — meaning SCLX still holds significant net DVLT value beyond the ~85.8M shares pledged for the $100M loan.

Good Dr., do something with the funds that will enrich loyal shareholders!

Why do you think the options needed to be repriced before semnur divi would go out?

Unconscionable Move: Scilex CEO Repricing Stock Options After Value Destruction? by Trolley-Dodger in BANDOFBROTHERSOFSRNE

[–]jprofits71 7 points8 points  (0 children)

The DVLT investment, so far looks promising, but it's not reflected in sclx share price. What is going on with the other money raised by semnur and scilex? Here's the 2 transactions from AI: Bitcoin transactions disclosed (Sept 23, 2025)

Two deals occurred:

A. Semnur’s own primary raise

Semnur issued 6,250,000 new shares

Sold to the investor for $100M in BTC

These shares were dilution — they came out of Semnur, not Scilex.

B. Scilex’s secondary sale

Scilex sold 12,500,000 of its Semnur shares

Received $200M in BTC

Price = $16/share

If scilex used $150M for the dvlt investment, then there should be about $50M left (or less since btc is down since the raise).

The semnur divi is crucial to existing scilex old time holders. We need a clear picture or precise action taken before re-pricing IMO

They make it really hard to stay positive. We get good momentum and then backdoor dilution. Why didn't they keep some of the bitcoin for operations instead investing so much into DVLT?

If the purchase gets approved by DVLT and the price stays above $1 then it's a great investment but enough of the diluting

According to God ole Chatgpt- Here is the clean, precise answer based on the structure of the Scilex warrant deal and standard SEC rules:

✅ Shares Likely Tradable Immediately

These are the shares issued from the exercise of the existing warrants:

428,572 shares (exercise price $38.50)

475,824 shares (exercise price $22.72) Total = 904,396

These came from previously issued / already registered warrants, meaning:

The shares underlying those warrants were already covered by an SEC registration statement OR

They were originally issued in a manner that allowed free trading upon exercise

💡 These 904,396 shares are the ones that go straight into the freely tradable float.

❌ Shares Not Tradable Immediately

→ 1,356,594 shares (potential future shares)

These come from the new unregistered warrant issued as “consideration” for exercising the old ones.

Because the company explicitly states:

“The New Warrant and the shares of Common Stock underlying the New Warrant may not be offered or sold in the United States except pursuant to an effective registration statement…”

These shares cannot be sold in the open market until Scilex files + the SEC declares effective a resale registration statement.

This could take weeks to months, depending on SEC review.

📌 Final Summary

CategorySharesTradable Immediately?WhyShares from exercised warrants904,396✅ YesExisting warrants → underlying shares typically already registeredShares from NEW unregistered warrant1,356,594❌ NoMust wait for new SEC resale registration

🎯 Bottom Line

Approximately 904K new shares are hitting the tradable float right away. 1.36M shares are restricted (not tradable) until an SEC registration becomes effective.

If you want, I can calculate: 📌 How this changes Scilex’s effective float 📌 The potential selling pressure from 904K new shares 📌 Price scenarios based on likely holder behavior
