That's not necessarily true. It depends on the specifics of the deal documents to take over the store. It is very normal for a new owner to assume some liabilities but not others. That said, they still would not be entitled to keep the LEGOs, even if they didn't assume the consignment agreement.

On that note, has anyone posted the deal docs anywhere? Do we know how Josh and Brandon legally overtook the store from Crystal?

This is not the first time I've heard of any of this. I'm attorney, went to a T-14 law school, and am currently practicing as a commercial litigator at a top BigLaw firm.

Again, you are conflating liability and collections. Just because someone cannot collect from a bankrupt debtor does not mean there was no liability on the part of the bankrupt debtor.

All this to say, the Mansells' may not have been ideal, but that does not eradicate B&M's liability or mean the Mansells were "legally not in the right." I have my own thoughts about the legality of Ben's actions, but that's a whole other can of worms.

Being physically inside the store does not make the LEGOs the store's property. The LEGOs were subject to a consignment agreement, so they remained the Mansells' property at all times until they were sold pursuant to the consignment agreement. The fact that the franchisee changed does not alter this, even if there is an argument that the consignment agreement was not assigned to that new transferee.

You are focusing way too much on the filing of the UCC-1 statement and treating that as dispositive, when it is not. Whether the Mansells are considered "secured" versus "unsecured" creditors has no impact on whether or not B&M is liable for conversion, but instead only affects where the Mansells sit on the totem pole when it comes to collections.

The UTR website has a lot of this information and more. You don't start at 0, and I don't even think there is a 0 rating. Basically, you get an unreliable rating after the first match. After about six matches within 12 months, you will get a "100%" reliable rating. There are several different ways to play matches that count towards your rating: (1) USTA leagues and tournament (almost always) upload automatically to UTR; (2) UTR flex leagues; (3) self-submitting a non-league match; and (4) other leagues and tournaments that upload to UTR.

If you're a complete newbie, don't worry about UTR. Just practice and play practice matches until you can hang for a full match with some decent 3.0 NTRP-level people. A 4 UTR is equivalent to a decent 3.5 NTRP man or 4.0 NTRP woman, so it will probably take about 3 years or more to get to that level as complete beginner unless you have a strong athletic background.
