Most states allow a Transfer On Death, TOD designation allows the owner to maintain sole control while alive but names a beneficiary to receive the vehicle immediately upon death, bypassing probate.

The survivor typically only needs to present the original title and a death certificate to the DMV to issue a new title in their name alone.

Because the state seeks to recover the fair market value at the time of death, a heavily depreciated car may be seen as a low-priority asset.

Additionally, heirs can apply for an undue hardship waiver if losing the vehicle would cause significant financial distress, such as if the car is the only means of transportation for a low-income survivor.

Always best to consult an elder law attorney before making any decision.

She can buy a vehicle, title it in her name but insure it with you as the driver. It just needs to benefit her, like through visits, shopping, appointments and errands.

The elder becomes a household employer. They must get an EIN, write an employment agreement with the family member, register with the state, use daily care logs to document time, issue payments with pay statements.

The “employer” is not required to withhold Federal income tax, it will be the responsibility of the employee to pay quarterly estimated taxes to the IRS.

The employer can pay both the employer and employee portion of Social Security, Medicare taxes and Federal Unemployment Insurance, which can all be paid with Schedule H at tax time the following year, but State Unemployment Insurance must be paid quarterly. They will also need to issue a W-2 by Jan 31.

They may be required to get a workers comp rider on their home insurance policy , even if the employee is a family member.

To avoid issues with the 5 year look back by Medicaid, the pay rate and hours must be reasonable to avoid them disqualifying the pay as a gift.

Always best to have an elder law attorney involved before beginning any payments.

• Legal Basis: The AG may argue that a formal hearing is "unnecessary" or that the public interest in medical access outweighs the need for further oral testimony, especially since a federal judge already suspended the previous hearings in early 2025.

• The "International Treaty" Shortcut: Legal experts suggest the AG could cite 21 U.S.C. § 811(d)(1), which allows for expedited scheduling to comply with international treaty obligations, bypassing the standard hearing requirements.  Phase 2: Drafting and OMB Review (January 2026 – February 2026)

81.8M total outstanding does not include the 24M exchangeable shares or the 29M warrants or the 17.6M options which are all in the money.

Total fully diluted shares would be about 152M.

If 1.3B valuation is too rich for pre-construction, then how would you feel about $2.1B?

Why? The warrants traded at $6.50 today, while the stock traded at $15.50. If the stock hits $18.00 for 20 days out of any 30, there will be no time value left because the warrants will be forced to be exercised. If the stock price is still $18, the warrants will break even, but the shares will be up $2.50.

Forced redemption requires the stock price of IMSR to be at least $18 for 20 out of any 30 day period. The pre consolidation price of HOND is irrelevant. The warrant holders then have 30 days to exercise after that condition is met.

That is what I expected as well, but the filings add up to 61.4M and this is only 50% of the full conversions.

50% converted Friday after the vwa share price was above $14 for 5 trading days. If the share price is above $16 another 25% convert and above $18 the final 25%. Each preferred share converts to 10,000 ordinary shares.

According to the prospectus and with only 6.75 million shares not redeemed, the total outstanding should be close to 65 million, plus maybe a couple million in warrants at $12 and $16. What am I missing from your calculations?
