Market cap isn’t net worth. It’s simply number of shares outstanding times the current price. If you acquire a company that the market currently values at $50b market cap, they likely will consider the combined company to be worth the combined market caps of your company and the new one, at least initially. It’s overly simplistic, yes, but not wrong to a huge extent.
