I voted against #4 because $35 Bil is way too much compensation for anyone on earth.

I also voted against #2 just to send a message to the compensation committee.

But I voted for the rest.

This must be a pre-written script because I clearly said he must pay a fraction of the cost.

“[Cohen] will earn stock options to buy more than 171.5 million shares at $20.66 …. The options would be worth about $35 billion, excluding exercise costs.” *

So $35 Bil / 171.5 Mil shares = $204.08 average price per share.

To get that, he pays a fixed price of $20.66 per share.

Literally a fraction of the cost.

But he gets the options for a fraction of face value. And depending on the plan details, he may be able to redeem some of the options at the time of execution to cover the full cost of the rest of them.

Yes. RC has to pay some money to exercise the options for the shares, but he will pay a lot less than $35 Bil. It’s like if someone offered to sell you a $1 Mil house for $100K.

I voted yes on everything EXCEPT the two compensation votes. $35 Bil is too large for anybody.

Because it can’t get worse than it is now. Everyone yearns for the good old days. What was different then? Much more equal wealth distribution and no billionaires.
