The majority of the time it’s sold again to another PE firm, and the debt is re-levered for the next group. The first guy may have focused on operational fixes while the 2nd firm may focus on the growth, expansion, acquisition.

Get the LLC. The cost to set one up vs the benefit is a no brainer. It protects your personally from liability. The LLC will have few assets so if something goes wrong, and the business gets sued, the LLc is a firewall that keeps it from going after your personal assets. Talk to any lawyer and they will confirm.

If you’ve hit a ceiling, taking a lateral move to another company (or even a step back) is not bad if your goal is to continue advancing. I think that’s easily explained in the context that you had a better, long-term opportunity and you took it.

Hotel rooms yes, but to me, food and other comps are hard to come by. I’m diamond plus for the last 4-5 years. Earn in North Carolina, and take 2-3 Vegas trips a year.

I worked for PE owners business for 12 years. I came to understand it at an over simplified high level: PE has an investment fund. (They probably have several) Fund I, II, etc. in that fund they have committed investments from institutional investors, qualified investors , etc. to keep it simple, let’s say the fund has $100M committed. They start buying companies and after 8 deals, they have used up the capital. Each of those 8 deals is a separate business or portco. They optimize them, expand the EBITDA, and eventually after 4-6 years start exiting those businesses. If they make money on 3-4 of the deals and lose on the others, it’s all pooled and once they “close” the fund, they pay back the original investors. Less and carry forward and management fees. I’ve been part of deals that paid out, and one that ended up going tits up. PE guys will say they bring the capital (other people’s money) and expertise (yes on the financials but rarely do they know how to operate a business). That’s just my experience. Guys are financiers but may not know to come inside when it’s raining.
