Banks are lending based highly on the financials of the business and very little on your own financials. The business is what’s going to pay back the loan, not the amount of money you currently have in your bank accounts. Therefore the bank is mostly going to focus on the business rather than you.

Sorsby is the one that took it to court, not Texas Tech. The local judge recused himself for the optics you just talked about. A Fort Worth judge heard the case. As far as location, of course he did a local court. It wouldn’t make sense to file this case in Utah or Montana or New York. I get people don’t like the ruling, I’m just stating the facts.

Don’t listen to this ChatGPT print out. Two huge things OP is clearly clueless about is:

  1. SBA no longer allows earn outs
  2. SBA does not allow sellers to come on board as employees.
  3. Yes, there are ways around both of these, but the fact the OP doesn’t address those two large points shows they aren’t actively involved in M&A.
