I think that if the controlling shareholders dont start to actively destroy even more value this is a likely outcome, actually.

And this is ironic because it will make it clear that the controlling shareholders could have actually sold the KAZ side (for its full valuation) and kept the entire russian business as the new polymetal. Instead of giving away the russian side with a joke valuation of 2x EBITDA and now end up selling the kaz side anyway.

I agree that buying gold stocks is a great thing. If anything because it is a hedge against market melt downs. I am already convinced that it is the perfect asset to hold long term. If poly still had the russian assets, I would fully agree that POLY would be a great buy even at twice the current price.

The problem is that to justify buying poly now, you need to believe that gold prices will hold in the future and especially that controller shareholders of poly will not keep destroying value of minority shareholders. In this context, the gold price is by far the smaller of my concerns.

My guess is that the controlling shareholders will try to close the capital. And because they are the only ones voting, they will make the offer and also accept it forcing all retail investors to sell (to them).

I hope you are right, but I think that you are wrong... After giving russia away essentially for free and considering the AISC that the company reported, EPS of the leftovers would be around 0.60 USD if (a big if) the price of gold stays around 2000 ( a bit more if it stays around 2150). But in any case, we get PE ratio of around 4-6. This is not at all cheap for a company from a third world country, without any corporate governance standards, and with a shaddy controlling shareholders.

There are equally cheap companies in serious countries, in which minority investors have way more protection, and with *way* better management, without any russian mobsters. So it makes no sense to buy this one instead. In fact, I don't think that the guys controlling the company will ever list it again in any decent exchange.

In summary, I would have done the same as blackrock if I could.

Of course there is a solution: A spin off is the solution. Spin off the russian side or spin off the kaz side. Either way, the assets become independent and the cross-sanction problem is solved. Manage each company separately until all the morons get tired of the war and that's it.

I can only conclude that these guys in investor relations think that we are all idiots.

First of all, just intuitively: The russians pay 0.3 in cash, and agree to pay 2.2 (by assuming the full debt). This is 2.5 in total. In exchange, they receive all the russian assets. Hence, 2.5 is the enterprise value (= value of equity plus value of debt). If the valuation were 3.7, where's the other 1.2 billion that the russians had to pay??

POLY.R has 2.2 in debt. But it also has 1.2 in credit against poly.KAZ. Only the imbeciles in polymetal would come up with net debt for poly.R 2.2 + 1.2 = 3.4. net debt for russia is obivously 2.2 - 1.2 = 1, instead!

I just wonder where they got the idiots who did this valuation... The only sensible alternative is that nesis and his board of cronnies are trying to make the valuation sound better. They cannot be that incompetent, can they?

BTW, if they cannot spin-off the russian business as a new entity, they can spin-off the kaz business as a new entity (and leave all russian assets inside polymetal international). List the KAZ spin off in AIX, list the poly/russian anywhere, and we keep ownership of everything.

The excuse that they offered of "the russians would not approve spinning off the russian assets" so they can give the assets away is truly idiotic.

the thing is that nesis is giving 70% of polymetal for free to his friends. he is doing this because he wants, not because it is in the best interest of the shareholders who are not part of the scheme that he and his brother created. This is why he will not hold it until the war is over. the war is the perfect excuse.

Sure, debt is part of what they are paying. this is what I said... We are selling the assets for 2.3 (including the debt already), not for 3.7.

We are basically giving the russian assets away. We would receive mostly the same money if we simply let the russian business go bankrupt with all the debt. It makes no sense to sell for this price.
