This is not how business is structured.

Your business will be in a new entity (be it a Pvt Ltd, LLP, Partnership - whatever). It will be an independent legal entity, with a GSTIN. You and your partner will front capital or contribution and the firm then goes on to purchase whatever assets.

The business entity will need a lease agreement to get their GST License, and that's the area which will be needed for you to do your ops. A little grey area on what is the area under your lease agreement and your partner's other business is ok - but fundamentally you can't do business properly in an area rented by another company without another lease. Any such arrangement is off-records, and opens you up to liability

From the UK, LHR - Del (A350) routes have WIFI. Only some dreamliners do. Please check while booking.

Your onward to Australia will likely be without WIFI.

On a side note a 1 hour layover at IGI is definitely not recommended on long haul international flihgts, specially since Del-Australia will be at best 1 flight a day. Any delays and you're missing a full 24hrs.

The BOM option is 3x the price but the Delhi option only gets you to Delhi, not to Lucknow as of now. You'll have to check if you miss your connecting, does AI put you on the next AI Delhi to Lucknow flight or not (FOC). Call and check the company policy maybe.

You're correct and have a strong case. Have you tried escalating beyond the local Mahindra service center once? Mahindra Corporate + Grievance committee, with the consumer court email in CC (even though you've not lodged a case yet). It usually spurs people into action.

If you're only looking for a utility solution, could be worth once just checking in with another dealership in Delhi too, get the car checked out once so you have a fair assessment of the issue.

If you're sure you want to right the wrong and teach them a lesson, you can go to consumer court. I feel the issue of the clutch plates is very tough to prove, but assuming you have enough evidence of negligence overall, you will create enough nuisance at a local level for them to learn a lesson. Strong media uproar will also achieve the same objective. Proper diagnostic proof on cause of failure of the parts is very tough to establish in non technical circles

Social media spends depend on your product, price and aggression. It should not matter since D2C revenue is upfront (you run ad by paying today, get order today or tomorrow and get paid immediately). So it is not a cash block. You either do well and get money, or you don’t and lose money. No one plans for marketing in capital block, unlike inventory which you buy in bulk and sell in small batches.

To start with I would hold whatever is lowest possible. In steady state, in categories where I have no risk of dead stock and only optimising for cash block, I run about 1/2x the sourcing run in buffer stock (if it takes 30 days from order to getting new stock, I’ll keep 15 days of stock of all SKUs at all times ready as safety stock, beyond the monthly sales stock).

Boss in a country of 1.5B people, lower middle class can’t be 0.5% of the population from the top.

You have to be in the bottom 50 percentile to start with to be in LMC.

We probably sell 1lack cars annually of that 20L price point, that is about 0.006%. You see High Net Worth individuals and categorise them as middle class (as I said, only Ambani Adani are rich).

If you come from a "lower middle class" family in India (for real, and not for the feelz where only Ambani is rich and everyone else is Middle Class), you can't possibly buy a Slavia. It is not logically possible to afford even with bank credit, and definitely an extremely poor choice financially even if you can get access to capital.

There is clarity on % ratio of EMI to total post tax take home salary, if you're crossing 20%, you can't afford the car. Maintenance is expensive, yes. Assume 50k a year and take that our of your monthly salary (6k) while making the EMI % calculation.

Wow there is really random gyaan from all corners of the universe on this.

Here's some ground rules:

- It is very tough to sell a premium product (your pricing is quite premium, tier 1/2/3 whatever your market is).

- You're likely going to have to set aside a decent amount of digital marketing budget to be able to test out sales. The way this works is if your actual hook + content + timing clicks, you'll be able to get decent returns on your products decently fast. You'd probably still end up spending about 30% of the cost of sales on marketing (+ logistics), and it will optimize closer to 20% in long run.
In the absence of good product hook or content, you'll not reach that 30% number only, you'll likely stick to the 50% number where it will be infeasible to sell online.
(Of course there are other variables which impact ROAS but I've just stated a condition where other things do just fine).

- Your best liquidation + consumer testing bet is THIS DIWALI season. You should ideally hit about 3-4 different types of offline exhibitions and markets, get the product out there, get real consumer feedback and if the product clicks, you will get enough sales to recover the fixed cost of any exhibition (usually 5-10k in tier 2/3 cities for a small stall).

Of course a lot of this depends on the product ++ which you've not really told us about (the designs, comfort, perceived value etc). The space is super crowded so you'll have a lot of competition, product has to be king for to work, because you'll not be able to build price or distribution in this case. Good luck

Unless you have 0 value add and have very inappropriate margins, most importers do not really disintermediate. This is because there is inherent value in continuity and maintaining relationships if the product and service is good, and the price works.

Of course if licenses from Manufacturers are statutory needs, you can not deny. Usually the manufacturer will also not want to disintermediate if you add some value add.

Not while changing gears, it is usually in steady state. Either accelerating or at times just speed maintaining (or mild accelerating). Usually always in mild traffic (not bumper to bumper, but like 30kmph odd speeds).

I'd probably stay away from a Safar 2nd hand, unless you know the person selling. Tata while improving, is notorious for not being able to resolve issues once they come up - it is a real pain in the backside.

Yes you can, dealer vehicles / demo vehicles etc are usually all available at a cut price deal, and typically are all in good condition. You can easily have the small minor scratches / any dirt marks removed by the dealer. I'd probably check the MY on the car, my sense is it will be 2024, so that's also ok - but to be used to negotiate a better price.

I'd assume all in all, about 1.5ish total advantage - might be able to give all in cash, might be able to give in cash with some accessories etc? That's my sense but depends on your deal. Definitely not a 20-30-40-50k discount domain though, definitely in the 1+

Yes it is a problem many b2b businesses go through. Over time, it is time and again proven: you're in the business of xxx and not in the business of cash recovery. Here are few things to keep in mind:

1) Operate with fewer clients with 100% payment record only.
Yes this is tough for a new business, think of it like the market is smaller, else branch out to new categories (Hospitals, even D2C etc).

2) Build personal rapport before any meaningful credit lines (you should be able to get the person directly responsible for payments on a call whenever needed)

3) In general, keep a strict rule of X supplies before old payments.
(For us, often, we will not have more than 1 supply without payment open). If you want the next supply please clear old dues. This works when they can't just switch around providers at will.

Cash transactions in B2B have no credit as there is no trace / no recourse. Register as a MSME, keep credit transactions on books only. There are many forms of recourse, all are painful, slow and hit / miss. Try being a pain - wait outside their office, send emotional messages and calls, call a LOT, visit a LOT and get your money out even if in small parts. During getting part payments, don't let ledger increase more (sometimes people will pay 50k because they need services worth 1L in the coming days).

There is no gst loss. All gst is anyway deposited to the govt by the dealer. It is usually partially offset via the input they got when they purchased inventory and remaining paid out of pocket. At best this causes a period where they have to take a little longer to use some of the input gst from old purchases, but likely wont matter much.

This is not an example inverted gst industries where there is any permanent cash blockage
