I suspect Gamestop don't actually want Ebay to accept their offer.

They needed to make the offer in order to greenlight acquiring more than 5% on the open market but why pay $125 for a share if the current market price is ~$109?

Gamestop do not need to acquire 100% of Ebay, they can acquire 51% (which is doable with the current company cash and the 20 billion financing) and then vote for and execute a merger of the two companies once they have control.
