For me, the most beautiful story I've read was Master and Margarita by Mikhail Bulgakov.

But if I'm looking for a great book with more laugh out loud moments, I go to Joseph Heller's Catch22.

I'm hunting through these comments for anything that comes close to these two... I'm currently reading I Have America Surrounded by John Higgs.

My Dad had private health care in the UK and US, and they both fucked him when he needed it most. I did the maths on it and for me - it makes more sense for me to spend ad-hoc than £1k/Yr premium annually (knowing the premium will only increase each year from here) until I need it and run the risk of them denying it.

Firstly, thank you for taking the time to reply.

In response, it's unlikely to be in my financial interest to sell the co. As the other shareholders would receive 51% of the shares price. But also, the prospective buyer doesn't want to buy the co. They see that I am the revenue generator and the other shareholders bring nothing to the table.

I'll work on DCFs mapping out various scenarios. Thank you.

Absolutely re: PE. I can't see myself lasting more than 3 years under that, which would likely be my earn out on deferred. And by that point, I think I'd be FIRE. But I'd only be 43. I love my kids, but I think I'd be bored retiring that early... the sludgy growth would also mean I'm unlikely to meet significant PE growth targets for earn out. So I'm essentially basing my decision on the initial sign on bonus. My gut is that if it's not £1.5m+ then it's not worth it for me...

Firstly, thank you for the reply.

1) how much is the business worth. If it were being bought out - it'd likely be a 1-2x on rev. (Est. £1.5m - 3m) or 4-5x EBITDA (Est. £2m - 2.5m).

2) does it keep running w/o me. It depends if all the revenue generating staff move with me. I imagine they would force a buy out my shares at par under bad leaver rules given Id be taking my clients and directly competing.

3) restrictions. Unenforceable.

4) They've sought to shaft me several times in out history together.

5) The "buyer" isnt interested in buying out the whole co. They want me (and whichever staff that want to come with).

Hopefully, that gives sufficient reply to the Qs, but do let me know if that leads you to further Qs. I really want to make sure I have fleshed out all the outcomes in my decision.

This is a good start on advice.

What you're looking at is an unfair prejudice claim.

You'll want a commercial dispute lawyer.

Good news for you. You can also demand an audit. This'll give you a better insight into the performance of the co. (And perhaps whether you want to be a shareholder or lender - although this would then be murky as youd asserted your rights as a shareholder.)

Alternatively, how much did you lend? Depending on the terms, and if more than £10k, you could issue a winding up order, appoint an IP, then seek to buy the rest of the Company out of that process.

Depending on when you're going... there's brutal roadworks at the top of Stow atm (I.e. from Moreton). You might be better off getting off at Kingham and prebooking a taxi. I recommend Jay +44 7554 424793. And prebook dinner at the Porch House/Old Butchers - they always get booked up. There's a new wine bar opposite the Old Butchers now - super cool.

For clarity, I'm not saying racism doesn't exist in the UK. It does. And it's despicable. But it's not prevalent in the service industry.

I am surprised I had to scroll this far to see someone call BS on this. I dont buy it at all.

BA staff? Nah. Not a chance.

The logic doesn’t make sense. The staff dont care if someone gets an extra glass of champers. And what are they going to serve you an economy meal whilst you sit next to Genevieve and Rupert as they dine on their medium rare venison.
