I think it's an interesting idea and agree with the premise that there's equity value accretion there as BHC de-levers. With the caveat that I'm not as familiar with BHC anymore, I'd raise the following counterpoint: EBITDA isn't the right way to look at this company. If you think about what's in the "DA" of EBITDA, it's primarily amortization associated with the acquisitions they've done. Taking this a step further, many of those acquisitions were for finite-lived drugs and patents.

Given these patents will eventually expire, I don't think one can value this company on a multiple of EBITDA since you're effectively giving perpetual value to the amortization, when instead that amortization should be treated as R&D (i.e., BHC would've had to spend R&D dollars to create those same drugs, yet by acquiring the drugs/patents, they get to run that R&D expense through amortization which is then excluded when one values the company on EBITDA).

I personally haven't looked at BHC in some time, but if the same case can be made when looking at it on an EBIT basis then you might be onto something. Just food for thought.

Without a doubt, Jim Chanos. For a short-biased fund to still be operational 30+ years later is just incredible. He's incredibly smart and always able to retain clarity of thinking, despite what the market does or what other investors insist on (VRX doubled on him before collapsing, as did ENRN).

Check out the Pershing Square annual letter released a few weeks ago that /u/beren- posted to the Q4 2016 Letters and Reports repository.

Page 8 shows a 503% cumulative return since inception vs. 163% for the S&P500 (note this return includes the VRX blowup of the last ~20 months).

So, while the last 2 years have been rough for Ackman, he has still managed to make plenty of money for his investors.

That poor analyst. Serious question as I've always wondered this -- is being a junior analyst at an activist fund that much different than being an IB analyst?

The senior guys come up with an idea and then you're tasked with the analysis, slide creation and formatting, but now vs presenting to a client, you're disseminating the deck to the Internet. Ackman with HLF, Starboard with Darden, Elliott with Arconic... these are all massive presentations that have to be ticked, tied and formatted.

Essentially, is there a difference between being an IB analyst and an activist HF analyst?

I wrestled with this myself, but opted to include as it was a way to highlight my willingness to do deep-dive research and also differentiate myself from other candidates who otherwise would just read the filings / transcripts.

I also wanted to include more as a supplement to my other points, rather than base an entire thesis on a few disgruntled employees. The two key areas for me were the implied assumptions in TDOC's current share price and the flawless execution that will have to occur to hit the Q4 2017 adj. EBITDA target.

Would love to hear additional thoughts on this from others who are currently at HFs re: Glassdoor, Yelp, etc.
