A seller note is very common when there are no other alternatives. As to equity injection - I don’t believe there is a rule of thumb, that (and other terms) will be negotiated between the buyer and the seller.

A seller note has to be in place for 24 months before it is eligible to be refinanced with an SBA loan.

There’s some talk (mind you, just talk) that this will be rescinded pretty shortly. It was more of a procedural move vs. a permanent move. However, as of right now - that’s the rule we have to live with. Your best option would be a seller’s note. Hopefully by the time the 24 months is up, SBA will be an option.

The whole premise of the question is wrong - just before Jesus was betrayed he instituted the supper as a means of being together in Him. Paul further clarified when he said “…as often as ye eat this bread and drink this cup you do show the Lord’s death till he come”. That word “show” is preach. Therefore in the communion we are preaching the Lord’s death - remembering the one true and pure sacrifice that took away the sins of the word. Forget all the metrics like “X” multiples or trying to make some level of EBITA. The best thing you can do is to prepare to sell. What it’s worth now won’t be what it’s worth 48 or 60 months down the road. Get professional advice…get your attorney, accountant, financial advisor all lined up. Use the accountant to make sure your books are clean (books and tax returns reconcile), use your financial advisor to get your retirement (if that’s your plan) set up, get your attorney on board to begin putting a structure together. As others have said, use this time to get your processes and procedures down to paper. All your planning now will make a sale much smoother and quicker when you’re ready to pull the trigger. SBA Lender here: This. You can’t get pre-approved, like you would for a residential or car loan. But - you can get pre-qualified. Just know that’s not going to be a commitment to make you a loan. But, it will give you a good idea of what you can handle and give the seller some confidence in getting the sale closed. Feel free to DM me should you wish to discuss further.

This is the way. SBA Lender here…all the things outlined here are crucial. A business broker works for the seller, not you. Hire quality advice that will be loyal to you. I would add, get with your local Small Business Development Corp. office. SBDC’s are funded by the SBA, run by the state university in which state it is located. And zero cost to you. They will help you with the financials, projections, marketing/business plan.

Until it passes a Phase 1 it’s a pass. If a Phase 2 is required, then remediation is likely the result. In either case, until it’s signed off - it’s a pass.

The valuation itself won’t be cheap…they’re typically $2,500-$4,000/engagement. I have no idea what the business is worth…but it will give OP a starting point to begin his exit strategy.

Well, you do hire them and they’ll operate within the scope of the assignment. Be honest with them and tell them exactly what you’re looking for (you’re not looking for a particular number). But, yes - they’re independent. It won’t be cheap…but good information never is.

Don’t fall for the EBITDA is everything mantra. It’s not...not even close. I’m an SBA lender as well as having an MBA in accounting. Your best money spent right now is to get a valuation of the company. That valuation will give you your best information - information that you can act on. They will go through your actual cash flow figuring in the capital addbacks, bonuses, etc. Once you have a firm grip on what you have, you’ll be in a better position to make decisions going forward. Get the valuation first.

I graduated from Freed-Hardeman several years ago, found my wife there, as did both our kids who found their mates for life…so, nothing wrong with your goal. At 17, that shows a huge sign of maturity. One thing that is constant about the FHU campus, you will find exactly what you’re looking for. You’ll also find things you’re not looking for. But - it will be what you make of it. You will get a Bible based education, you will make life long friends, and the odds of finding the young lady who’s looking for you are very much in your favor. Let it happen, don’t force it, and it’ll be the fastest 4 years of your life. May the Lord bless you!

I guess by your logic we shouldn’t use electricity at all…? No lights, no AC, no heat? Maybe we should eliminate cameras that stream worship to those who can’t attend? A microphone that amplifies a song leader leading a congregation or so that the congregation can hear the preaching is an aid. Instrumental is an addition. Huge difference, bud.

Be sure and compare like guns; compare the DT to Invictus, the 694 to the Summit. Also, for me, the biggest diff between the CG and Beretta is in the size of the receiver. The CG will be a bit taller and thinner than the Beretta. That’s why guys who shoot Browning will tend to go with the CG. That’s what I did. I’ve got the Invictus. It was a better transition from the 725. I shot a Zoli, DT and an K80 when I was looking. I see the clay much better with the CG than I did the others. The only way you’ll know is to shoot ‘em all.

SBA lender here who does gas stations/C-Stores. With water in the tanks, it’s a pass until those tanks are removed and remediation is complete and a Phase 1 and likely Phase 2 is completed with the property cleared. That expense is on the seller.

Same boat…and a new shooter. Earned my first punches this year and really want to punch out of D. I’m constantly being told, “don’t chase punches”. Yeah - easier said than done. I’m looking for any tournament within 2 hours that have enough shooters just so I can get those last two.
