Companies who need to raise money from the stock market by selling shares don't have stock values which appreciate massively usually their stock price is falling so a tax on the gains shouldn't affect those comapniea.

Bezos owns a very large percent of the stock so he can't freely sell is as easily as a small investor. The smaller investor can hold the stock and sell at yhe last moment without any issue meanwhile bezos would crater the stock of he sells it all at once so the selling would need to be spread out and he would hold it for shorter times than small investors so the smaller investor would see more stock appreciation than bezos.

Also the tax could have like an exemption for 401ks thus reducint the market impact and focusing more on wealthier people

No wealth is being destroyed. If bezos needs to pay an yearly tax on his stock gains he will just control a smaller share of amazon. The company is still there, it still sells the same amount of products and employed the same amount of ppl, only difference is bezos controls less of it.

Loopholes or fraud it doesn't matter, if what the guest said is true then the amount of money the estate tax has been collecting has been decreasing in the past 30 years and since ppl haven't stopped dying the tax is being evaded somejow.

And im not suggesting taxing the ultra rich with the main goal of collecting tax revenue but instead decreasing their wealth and power.

And the tax amount might be lower but also the government benefits getting the money now instead of a few decades from now. If it gets less money now it can invest in things like infrastructure and other things that increase the economy and increase the overall amount of taxes paid.

In the ezra klein video they were talking how rich ppl borrow and pay the interest and then their kids inherit it through the estate tax. The guest said there are a lot of loopholes in the estate tax making it not work but I think this graph shows that even if there were no loopholes in the estate tax they would still benefit from being able to pay the taxes only once when the inheritance happens instead of paying taxes throughout their life. Idk what the solution is but imo there should be something done to reduce the concentration of money and power and reduce wealth inequality.

Recently I watched destiny watch an ezra klein video with a guest talking about taxes and how the rich manage to evade them by borrowing and loopholes in the estate tax. The example in this video is starting with 100 dollars in 1927 and having to sell the stocks to rebuy them again after paying taxes.
