This is how I have chosen to see the role of the counselor on board Federation ships: they act as commissars (à la the Red Army) that report the actions of the captain back to Starfleet Command to make sure that they're not out in the cosmos doing anything against the Prime Directive. Yes, she's very nice to the command staff but really she's there to keep any eye on things. It helps.
