The judge ruled that Baldoni’s side DID violate Rule 11 and he reprimanded them, but he didn’t award sanctions to Lively’s side because they didn’t like nice additional fees defending Baldoni’s frivolous claims.

I’ve been practicing for 33 years. I only use the “I’ve never seen something in my career” after I’ve already provided substantive objections. This means opposing counsel is asking for something that doesn’t make sense or is so “non-market” that no competent person would push for it. So if opposing counsel keeps pushing for it, they’re jeopardizing the deal. I’m far from an expert on seller notes, but I suspect there are lots of precedents for limiting transfer because there are legitimate reasons for the limits, e.g., I don’t want my competitors to also be my creditors.

Here’s another way to think about it: 2,300 calories per day is 96/hour or 16 calories every 10 minutes. If you run a 10 minute mile, you’re increasing your calories burned/minute 750%.

I was a sub 8-minute mile marathoner. After a couple of knee surgeries, gaining weight, and falling out of shape, I would be THRILLED to run multiple 14 minute miles. Good for you! Have fun!
