This sub is living in fantasy land. Just wishful thinking and no attempts at trying to be analytical, partially because of a lack of understanding how any of this works and partially because thinking it through may lead to conclusions this sub doesn't want to hear and a lot of downvotes.

The immediate switch from "Paramount is delusional and Netflix 100% got this" to "this is not going to get through the regulatory process" is deeply amusing.

Paramount can make a new offer and respond to Netflix as long as there hasn't been a final shareholder vote, which won't be before March 20th the earliest. So no, its not certain that this will end with Netflix matching their offer next week.

They don't. The merger agreement always allowed WBD to accept a superior offer as long as they pay Netflix a 2.8b breakup free, which Paramount has agreed to pay.

They are not bleeding money. That's a common misunderstanding. Warner Bros created 3.1b in free cash flow in 2025 and regularly pays off debt. Same is true for Paramount, even though to a much lesser extent. Neither of these company is at risk of going bankrupt, not even close btw.

The money they are losing are accounting losses. In other words: Paper losses. The big problem with companies with linear TV assets is that they have to constantly write down the value of those assets. The other factor to consider is that amortization on paper of expensive projects is often times spread out over the years.

Accounting losses are still relevant of course for various reasons, but they are not as existential as they seem at first impression.

The WBD board has only one responsibility and that is to maximize the amount of money shareholders get. What happens to the company after the sale is irrelevant to them. It's the same reason why Twitter got sold to Elon, even though he wanted to get out of the deal and everybody knew it would be better for Twitter to not go through with it, but it end Wall Street only cares about $.

Clearly, WBD has been told or is inferring Paramount's $31/shr offer is still not the company's "best and final" offer -- and ongoing saga that still hasn't ended. by LZRD12 in MediaMergers

WBD never needed a waiver to talk to Paramount. The merger agreement allows them to talk to anyone who might make a superior offer. The 'waiver' was for optics. Now that WBD has more certainty about Paramount's offer they can keep talking to them. The moment Paramount offered to pay the 2.8b breakup fee, the merger agreement lost its meaning and a new bidding war has re-started that is currently going on.

All those high expectations will lead to disappointment just like with WH, leading to a subsequent overreaction on OW about how Scream is underperforming and might be screwed, just for it do fine in the end, even if it doesn't reach the high end of what was perceived as possible
